The attractive accumulation zone is ~$60–75 (roughly 12–14x forward P/FCF / ~13x forward EV/EBITDA); a base-case path gets to ~$180–200 over five years on EBITDA that more than doubles plus a shrinking share count — even on a de-rated exit multiple.
The one-liner: the market is pricing Uber as a toll-collector about to lose its bridge — and is paying you to bet it doesn’t. Uber generated $9.8B of free cash flow in 2025 (+42%), grew gross bookings ~20%, runs a ~74% US rideshare share and a 46-million-member loyalty program approaching half of all bookings, converts ~112% of adjusted EBITDA to cash on near-zero capex, and is buying back stock aggressively with the count now shrinking. For that you pay ~14.5x trailing / ~12x forward free cash flow and a ~7–8% FCF yield — its own ~10-year valuation low (30th percentile), and a discount to a smaller, lower-margin DoorDash that trades at 30x FCF. A reverse-DCF says the price embeds a ~9% long-run FCF CAGR — roughly half the current operating trajectory. That is the market pricing the autonomous-vehicle (AV) bear: the fear that Waymo and Tesla disintermediate the high-margin Mobility trip and turn Uber into a thin referral layer. That fear is real and I do not dismiss it — but on today’s facts it is over-discounted on a 1–3 year view. AVs are capital-hungry assets that hate idle time; Uber’s demand smooths their duty cycle, and Waymo chose to list on Uber’s network in multiple cities. Management claims its category position in San Francisco and Los Angeles — the most AV-saturated US metros — is higher than six months ago. If even roughly true, the on-the-ground evidence favors aggregation over disintermediation, and the embedded bear is a gift.
Framing: contrarian/quality-at-a-reasonable-price — a genuine compounder at a cyclical-sentiment trough, not a falling knife (the cash flows are accelerating, not deteriorating). Conviction: medium-high. The single thing that flips me more bullish: durable, third-party-verified evidence that Uber’s Mobility take-rate and category share hold (or rise) in mature-Waymo metros as AV mix climbs — i.e., aggregation is winning. The single thing that flips me bearish: a large AV fleet (most plausibly Tesla’s owned network) reaching profitable paid-ride scale off Uber’s platform, with observable Mobility take-rate compression — the moment disintermediation stops being theoretical. Position sizing should respect that this is a binary, unfalsifiable-for-now tail risk; it warrants a permanent valuation haircut, not avoidance.
1. Executive Summary
Uber Technologies operates the world’s largest mobility-and-delivery marketplace: three reportable segments — Mobility (ridesharing, ~$29.7B FY2025 revenue on ~$97.5B gross bookings), Delivery (food, grocery, retail; ~$17.2B revenue on ~$90.9B bookings), and Freight (digital brokerage; ~$5.1B revenue, structurally unprofitable). The business has crossed a decisive inflection: from the cash-incinerating land-grab of 2015–2021 to a genuine free-cash-flow machine. FY2025 delivered $52.0B revenue (+18%), $193.5B gross bookings (+20% constant-currency), $5.57B GAAP operating income (10.7% margin, up from $1.1B two years earlier), $8.73B adjusted EBITDA, and $9.76B free cash flow (+42%) — all on trivial capex (~$336M). The operating leverage is unambiguous: revenue grew 18% while operating income grew 99%.
Reported GAAP net income of $10.05B is not a clean number and must be normalized: it is inflated by a ~$5.0B one-time Netherlands deferred-tax-asset release and distorted by mark-to-market swings on a ~$9.2B portfolio of equity stakes (Didi, Grab, Aurora). The honest scoreboard is operating income, adjusted EBITDA, and FCF — all compounding 35–45% annually.
The moat is real but must be described precisely: local economies of scale plus customer captivity, not a global winner-take-all network. In a given metro, density lowers wait times and raises driver utilization, creating a liquidity flywheel that shows up financially in a sustained ~30% Mobility take-rate, ~74% US rideshare share, and a stable ~75/25 US duopoly with Lyft. Cross-platform scope (riders who also order delivery generate >3x the bookings), a 46-million-member Uber One program approaching 50% of bookings, and an inflecting high-margin advertising business reinforce it. But the moat is geographically fragmented, multi-homing is real (drivers and riders use competitors freely), end-user switching costs outside membership are near zero, Uber is the challenger (#2 to DoorDash) in US Delivery, and Freight has no moat at all.
The dominant question — and the reason the stock sits at a 52-week low, down ~33% from its high — is autonomous vehicles. The bear case: AV operators that own the vehicle and the autonomy stack (Tesla’s model) capture the driver’s ~70–80% of the fare and bypass Uber entirely, collapsing Mobility economics. The bull case: AVs are capital-intensive supply that needs a demand-aggregation and fleet-utilization layer, and Uber — with 30+ AV partnerships, an asset-light posture, and the largest demand pool on earth — is that layer. The current evidence (Waymo listing on Uber in several cities; Tesla’s robotaxi fleet still sub-60 vehicles; Uber’s AV trips up >10x year-on-year; category position reportedly rising in the most AV-saturated metros) favors the “AV is net-positive demand expansion” thesis on a near/medium-term horizon — while leaving a genuine, unquantifiable long-tail risk if a single vertically-integrated owned-network winner emerges.
Capital allocation has sharply improved: investment-grade balance sheet (achieved 2024), a $27B buyback authorization with $9.5B already deployed and the share count now falling, disciplined M&A (Uber walked away from Foodpanda Taiwan at a $236M cost rather than overpay), well-controlled SBC (~$1.8B, ~3.5% of revenue and flat), and an incoming CFO who bought stock in the open market near the lows. The watch-items are repeated CFO turnover (three CFOs in roughly two years) and the perennial driver-classification regulatory overhang.
On valuation, every cash-based lens says the same thing: Uber trades at its own ~10-year low and at a discount to peers with inferior economics, with the market embedding roughly half its current growth trajectory. As of FY2025 the platform served ~202 million Monthly Active Platform Consumers (MAPCs) (up 18% YoY), processed ~13.6 billion Trips (+20%), and intermediated $193.5B of gross bookings (+20% constant-currency). How each segment makes money. In Mobility and most Delivery markets Uber is an agent: it recognizes revenue net of driver/merchant earnings and incentives, booking only its fee. This is why the ~30% Mobility and ~19% Delivery take-rates are the cleanest financial signature of the marketplace. In certain markets where Uber is “primarily responsible” for the service, it grosses up revenue (driver pay flows through cost of revenue) — which is why reported cost of revenue is ~60% of revenue and why the headline take-rate is muddied by gross-vs-net market mix. Freight is a principal/brokerage model (carrier payments in COGS, revenue ≈ bookings), a structurally low-margin, cyclical business that lost $33M at the segment level in FY2025.
Three high-margin monetization layers ride on top of the bookings base, and they are the margin story:
- Advertising (launched late 2022), recognized gross and near-100% incremental margin: Delivery advertising revenue alone grew +$568M in FY2025. This is the single largest reason Delivery’s segment EBITDA grew 45% on 25% revenue growth. Verdict (Business Overview): A genuine, now-profitable three-sided marketplace with two strong franchises (global Mobility, scaling Delivery) and one commoditized appendage (Freight). The model has decisively crossed from cash-burning to cash-generative, and its economics are structurally improving as high-margin advertising and membership layer onto an asset-light bookings base.
3. Industry Dynamics
The industry is structurally mediocre — and Uber’s own 10-K says so. The risk factors describe Uber’s markets as “highly competitive, with well-established and low-cost alternatives… low barriers to entry, low switching costs, and well-capitalized competitors in nearly every major geographic region.” This is unusually candid. Ride-hail and food-delivery are not inherently good businesses: the product is close to a commodity, capital can enter, and consumers multi-home with two taps. What makes Uber investable is not the industry — it is that Uber has won a structurally advantaged position within a structurally unattractive industry, and that the industry has finally rationalized.
Profit pools have formed only recently. The 2015–2021 era was a capital bonfire: Uber, Lyft, DoorDash, Grubhub, Didi, Ola, Bolt, and dozens of food-delivery startups subsidized rides and meals to buy share, torching tens of billions. That era is over. Uber now earns $8.7B of adjusted EBITDA and $9.8B of FCF; DoorDash is profitable; Lyft is FCF-positive. The marginal competitor has been starved of capital, consolidated, or absorbed (Grubhub, Postmates, Drizly, Cornershop). What remains in the two largest profit pools — US Mobility and US Delivery — are stable duopolies (Uber/Lyft ~75/25 in rides; DoorDash/Uber ~60/24 in delivery) that compete on service and selection rather than ruinous price.
Marathon capital-cycle lens. This is a textbook favorable inflection: capacity (driver subsidies, competitor capital) has been withdrawn, supply has consolidated, returns are recovering, and incumbents now behave cooperatively on price. Management focus has shifted from growth-at-all-costs to FCF and returns (first-ever buyback, investment-grade rating, leverage discipline). Per Marathon, favorable supply-side dynamics can justify a premium multiple even for a business that screens as “value” — and Uber screens cheap on cash flow. The one development that could break this favorable capital cycle is AV: $16B of fresh capital into Waymo alone is exactly the kind of supply-side shock that can re-fragment a rationalized industry. That tension — a beautifully rationalized capital cycle with a technology-disruption sword hanging over it — is the heart of the Uber thesis.
Regulation — driver classification is the central structural risk. Uber’s entire net-revenue accounting and asset-light economics depend on drivers remaining independent contractors. The key battlegrounds:
- California Prop 22 (in effect since Dec 2020, upheld by the California Supreme Court in 2024): preserves IC status with a benefits floor. The 10-K’s accounting assumes this survives.
- EU Platform Work Directive (adopted 2024, transposing into national law through 2026): introduces a rebuttable presumption of employment — a genuine cost/model risk across Europe.
- UK (2021 Supreme Court ruling): drivers are “workers” entitled to minimum wage and holiday pay — already absorbed; a precedent for elsewhere.
- NYC/Seattle minimum-pay rules and a pending Mexico reclassification add per-trip cost floors in specific jurisdictions.
Reclassification is the one regulatory event that could structurally impair the model — raising driver costs, removing flexibility, compressing the take-rate. 4. Competitive Position
Name the moat: local economies of scale plus a degree of customer captivity, reinforced by cross-platform scope and a membership-driven loyalty layer. In Greenwald’s taxonomy this is the genuine article — economies of scale combined with captivity — but it is local, not global, and that distinction governs everything.
The mechanism. Within a metro, more drivers → lower rider wait times and less surge → more riders → higher driver utilization and earnings → more drivers. This liquidity-density flywheel is a fixed-cost-spreading game: matching, routing, demand-prediction, pricing, mapping, payments, and regional ops are largely fixed per city, so the densest player has the lowest cost-per-trip and the best service level simultaneously. Greenwald’s “think local” maxim applies exactly: the defensible unit is the city, not the globe.
The moat shows up in the financials — the test that matters:
- ~74% US rideshare share vs. Lyft’s ~26%, a stable position consistent with real barriers (a frictionless commodity market would not sustain a 3:1 share).
- ~30% Mobility take-rate sustained — pricing power inconsistent with a no-moat commodity.
- Mobility segment adjusted EBITDA of ~8.1% of gross bookings, and rising — operating leverage on density.
- Cross-platform scope (a quantified, hard-to-replicate scale advantage): consumers who use both Mobility and Delivery generate >3x the gross bookings of single-product users; ~58% of first-time Delivery consumers in Q4-2025 were new to the entire platform; only ~1 in 5 eligible consumers is active monthly across both businesses — meaning the flywheel is under-exploited, a tailwind to future bookings-per-user even at flat MAPC growth. Single-product competitors (Lyft, DoorDash) cannot replicate this scope.
Pressure-testing network effects (the rigorous part):
- They are local, not global. A rider in Chicago gains nothing from Uber’s liquidity in São Paulo. The 10-K itself concedes “those network effects may not result in competitive advantages or may be overcome by smaller competitors” — management does not claim an indestructible moat.
- Multi-homing is the central vulnerability. Drivers run Uber and Lyft simultaneously; riders price-check both apps. Uber concedes drivers “are free to provide services on our competitors’ platforms” (it must, to defend the IC classification). Where multi-homing is cheap, the network effect is shallow — a well-funded entrant can rent the same drivers and buy the same riders. - End-user switching costs are essentially zero outside Uber One membership and habit. Two taps open a competitor app. This is why membership matters strategically far beyond its discount economics — it is the only mechanism manufacturing switching costs in a business that otherwise has none.
Where the moat does not hold (stated directly):
- US Delivery. Uber Eats is #2 (~23–25%) behind DoorDash’s ~56–67%. In its largest delivery market Uber is the challenger; the density flywheel runs against it domestically. The Delivery moat is real only where Uber is #1 (UK, Japan, much of LatAm), not the US.
- Freight. No moat. Commoditized brokerage versus C.H. Robinson, RXO, TQL, DHL; negative segment EBITDA.
- In any single metro where a competitor achieves comparable density, the cost gap collapses toward zero. The advantage is defended share, not an absolute barrier — per Greenwald, scale advantages erode with any share loss and must be defended move-for-move. Uber’s multi-product, multi-market breadth is what funds that defense (a real edge over single-product rivals), but the underlying single-city network effect is thinner than bulls imply.
A meaningful rebuttal to the “shallow local moat” critique: Uber’s multi-product playbook has repeatedly built #1 positions organically — Japan #1, UK #1, Germany roughly co-#1 — evidence that the cross-product scope advantage is transportable, not just a legacy of first-mover subsidy.
Verdict (Competitive Position): a genuine but geographically-fragmented moat. Strong economies-of-scale-plus-local-captivity in Mobility (especially ex-US and in dense metros), reinforced by cross-platform scope and a 46M-member loyalty layer that creates the switching costs the base business lacks. It is not a Visa-grade, winner-take-all global fortress; it is a portfolio of defended local positions plus a data/scale asset — “wide-ish, shallow-in-places.” That is a durable advantage, but one that must be actively defended and that AV could either deepen (multi-vendor demand-aggregation) or erode (single owned-network winner).
5. Growth History and Forward Opportunities
The historical record is exceptional and high-quality. Revenue compounded from $11.1B (FY2020) → $17.5B → $31.9B → $37.3B → $44.0B → $52.0B (FY2025). More important than headline revenue (muddied by gross-vs-net accounting) are the volume and engagement KPIs, which are clean:

This is high-quality growth: driven by users (+18%) and frequency (trips growing faster than users), not by price; almost entirely organic; and accompanied by expanding margins and accelerating cash generation. Adjusted EBITDA as a percentage of gross bookings rose from 2.94% (FY2023) to 4.51% (FY2025) — ~157bps of structural margin expansion in two years, the cleanest evidence that the model gets better with scale.
The Q1-2026 read confirms the trajectory. Gross bookings grew +25% reported / +21% constant-currency; income from operations rose +57% YoY to $1.92B. (Reported revenue growth of +14% understates the business because of a UK accounting change (detailed below) — not because of demand weakness.)
Forward opportunities, in order of importance:
- Advertising. The highest-margin growth vector, still early. Delivery ad revenue +$568M in FY2025 with penetration just past the old ~2%-of-bookings target; grocery, retail, and mobility advertising are “nascent.” Near-100% incremental margin makes this the single most important lever on consolidated margins.
- Uber One membership. 46M members (+55%) approaching 50% of bookings — drives frequency, retention, and cross-category adoption. The ~80% of eligible consumers not yet cross-active across Mobility and Delivery is a large, low-cost frequency runway.
- Delivery share gains and category expansion. Grocery and retail (5 of the top-10 US grocers signed), suburban expansion, and selection growth — a share-gain story against DoorDash plus a TAM-expansion story.
- International Mobility penetration and the organic #1-building playbook in new markets.
- Autonomy as a long-term growth vector (the double-edged one): if AV lowers per-mile prices, elastic demand expands the ride-hail TAM — management’s repeated “AV will be a net positive… it will expand the category” thesis.
The honest caveats. Frequency growth is decelerating as early cohorts mature (“frequency growing at a slower rate… a function of cohorts maturing”), so future bookings growth leans more on audience (MAPC) growth and monetization (ads, membership) than on raw frequency. And Freight is a growth drag in a weak freight cycle.
Verdict (Growth): high-quality, durable, and broad-based — user- and frequency-led, organic, margin-accretive, with multiple independent forward levers (ads, membership, grocery, international). The quality of the growth is among the best in large-cap consumer internet; the only real debate is durability under AV disruption, addressed below.
6. Financial Quality
Uber’s financial quality is high on the metrics that matter for an asset-light marketplace — but the income statement requires active normalization, because GAAP net income is one of the noisiest in large-cap tech.

FCF conversion of ~112% of adjusted EBITDA is exceptional and structural: capex is ~0.6% of revenue because the drivers own the cars and the merchants own the kitchens. This is the core of the bull case — a genuine, scaling, capital-light cash machine.
Quality of earnings: why GAAP net income is unusable. The gap between $5.57B of operating income and $10.05B of net income (FY2025) is entirely non-operating and largely non-cash:
- Deferred-tax valuation-allowance releases. FY2024 net income carried a ~$6.4B benefit from releasing the valuation allowance on US federal/state DTAs; FY2025 carried a ~$5.0B benefit from releasing the Netherlands DTA. The FY2025 income-tax line was a $4.3B benefit, not an expense — so roughly half of the $10.05B net income is a one-time, non-cash tax item. Deferred tax assets on the balance sheet ballooned from $6.2B (FY2024) to $11.0B (FY2025) as the asset side of these releases.
- Equity-investment marks. Unrealized gains/losses on the ~$9.2B stake portfolio run through “Other income (expense), net”: +$1.6B (FY2023), +$1.8B (FY2024), −$0.1B (FY2025) — and −$1.5B in Q1-2026 (Grab −$713M, Didi −$674M). The UK gross-to-net accounting shift (don’t misread the take-rate). Effective Jan 2, 2026, a UK legislative change ended the VAT Order 1987 treatment for private-hire operators; Uber UK stopped recognizing those bookings on a gross basis. The mechanical result in Q1-2026: Mobility revenue −$1.0B, with an offsetting ~$606M decline in driver payments in cost of revenue — i.e., revenue moved from gross to net recognition.
