Verdict: AVOID at ~$20.98 / NOT-A-CLEAN-SHORT / constructive only far lower. The technology is real and the balance sheet keeps the lights on for years, but the valuation is a TAM fantasy stacked on a shrinking revenue base. Fundamental fair-value zone ≈ $3–6 (a “cash-plus-an-option” frame: ~$1.70/sh of net cash + a few dollars of speculative platform value), with froth above ~$15 and the $58 high a pure mania artifact. Conviction: HIGH on “wildly overvalued,” LOW on “what stops it.” Framing: a thematic momentum bubble in a genuine, still-pre-commercial technology — a falling knife you do not catch and a hot stove you do not grab.
The science is real; the valuation is not. At ~$20.98 Rigetti carries a ~$6.97B market cap and ~$6.4B enterprise value against FY2025 revenue of $7.1 million that FELL 34% year-over-year (and is down ~46% from its 2022 peak) — roughly 900× trailing sales, an order of magnitude richer than even IonQ’s stretched ~72× forward multiple, and IonQ has ~18× more revenue that is growing. What you are buying is a venture-stage bet that superconducting, chiplet-based quantum computing reaches “quantum advantage” (~3 years out by management’s own telling), that it monetizes before the cash and the dilution tolerance run out, and that Rigetti specifically wins a modality in which its direct competitors are IBM, Google, Amazon and Microsoft — the best-capitalized companies on Earth — and in which its published 99.1% two-qubit gate fidelity already trails IonQ (99.99%) and Quantinuum (99.92%). GAAP earnings are noise: a Level-3 warrant liability swung net income from −$216M in FY2025 (a −$150.6M non-cash mark-to-market loss as the stock rose) to +$33M in Q1-2026 (a gain as it fell). The ~$569M cash-and-investments war chest — the single best reason the stock is not lower — was raised by roughly 2.5×-ing the share count (133M → 332M shares) largely into the January–February 2025 spike to $58, and it funds dilution, not returns.
What would flip me bullish: durable, organic, high-margin, recurring quantum-compute revenue scaling past tens of millions of dollars with fidelity demonstrably reaching the front of the superconducting pack — i.e., proof the platform monetizes faster than it dilutes and that the modality is winnable against the hyperscalers. What would flip me more bearish (toward a short, if the borrow were sane): a roadmap slip on the 108Q→error-correction path, a guidance reset, or the first quarter the equity-issuance window closes while the burn does not. The ~15% short interest plus a relentless thematic bid make the borrow a hot stove, which is exactly why this is an AVOID, not a short. Tag: “The market is paying $6 billion for a $7-million-revenue lab — and the revenue is shrinking.”
1. Executive Summary
Rigetti Computing builds gate-based, universal quantum computers using superconducting qubits, and is one of a small cohort of listed pure-play quantum names (alongside IonQ, D-Wave/QBTS, and Quantum Computing Inc./QUBT). Its differentiator is a modular “chiplet” architecture — tiling small, individually-fabricated 9-qubit chips into larger systems — and full vertical integration through Fab-1, its in-house superconducting chip fabrication facility in Fremont, California. The flagship is the recently generally-available Cepheus-1-108Q (108 qubits, built from twelve 9-qubit chiplets), accessible via Rigetti’s own cloud, AWS Braket, Microsoft Azure Quantum and qBraid; the company also sells on-premises Novera 9-qubit QPUs and provides foundry, software and professional services.
The investment question is not whether quantum computing eventually matters — it plausibly will — but whether this company at this price is investable. On the evidence, the answer for a fundamental investor is no:
- Revenue is tiny and shrinking. FY2025 revenue was $7.1M, down 34% from $10.8M in FY2024 and down ~46% from the FY2022 peak of $13.1M. Quarterly revenue is lumpy hardware (a single Novera sale can swing a quarter), ~48% of it is U.S.-government, and TTM revenue is only ~$10M. This is the opposite of the scaling-software story the multiple implies.
- Economics are deeply negative. FY2025 operating loss was −$84.7M on $61.3M of R&D (≈8.6× revenue); operating cash burn was −$58.5M. ROE is −57%, ROA −12%, ROIC deeply negative. There is no profit pool here — only spend.
- GAAP net income is a warrant mirage. A derivative-warrant liability produced a −$150.6M non-cash loss in FY2025 (driving the −$216M net loss) and a +$33M gain in Q1-2026 — it generates “profits” when the stock falls and “losses” when it rises. Net income is uninformative; the warrants were largely exercised in Q1-2026, removing the liability going forward.
- The war chest is real but dilution-funded. ~$569M of cash and marketable securities, essentially no debt, and ~9+ quarters of runway at the current burn — but the share count rose from ~133M (mid-2023) to ~332M (mid-2026), the bulk raised via at-the-market offerings into the early-2025 mania. The balance sheet is the bull case; it was bought with paper.
- Valuation discounts a decisive victory. ~$6.4B EV is ~640–900× sales. A reverse-multiple at a generous 20× forward sales implies ~$320M of revenue — ~45× the current base — before the stock is merely “expensive.” The market is capitalizing an outcome (Rigetti wins commercial-scale superconducting quantum computing) that is years away and contested by the largest technology companies in the world.
The bull case is pure optionality: a credible chiplet-scaling roadmap, a strategic manufacturing partner in Quanta Computer (combined commitment >$200M), a proposed $100M CHIPS Act award, DARPA/Air Force validation, and a fortress balance sheet that buys years of runway. The bear case is that all of this is already priced many times over, that the cash funds dilution rather than shareholder returns, and that the Marathon capital cycle is flashing red: capital is flooding a hot theme, asset growth is explosive, returns on that capital are deeply negative, and a sub-scale player is spending against opponents with effectively unlimited resources. This analysis takes no position and sets no price target; the single opinion is fenced in the Author’s Take above.
2. Business Overview
What it does. Rigetti designs, builds and operates gate-model quantum computers based on superconducting qubits — tiny circuits, cooled to near absolute zero in dilution refrigerators, that behave as artificial atoms and are manipulated with microwave pulses. Unlike IonQ (trapped ions) or D-Wave (quantum annealing), Rigetti pursues the same universal, gate-based superconducting approach as IBM and Google. Its self-described edge is twofold: (1) a modular chiplet architecture that tiles small, high-yield 9-qubit chips into larger processors (the 108-qubit Cepheus-1-108Q is twelve such chiplets), which the company argues is a more manufacturable path to scale than monolithic large chips; and (2) vertical integration via Fab-1, its own superconducting-chip fabrication facility, which it claims is the first dedicated commercial quantum foundry and a source of fast iteration and IP.
How it makes money. Revenue comes from four overlapping buckets:
- Quantum Computing as a Service (QCaaS) — cloud access to Rigetti systems via Rigetti Quantum Cloud Services (RQCS), AWS Braket, Microsoft Azure Quantum and qBraid (usage/subscription).
- Systems and QPU sales — on-premises hardware, principally the Novera 9-qubit QPU, sold to national labs, universities and government customers. This is the lumpy, lower-margin revenue that drives quarter-to-quarter swings.
- Development contracts and government grants — DARPA (Quantum Benchmarking Initiative), U.S. Air Force (AFOSR, AFRL), national-lab and international-government programs. Government accounted for ~48% of FY2025 revenue.
- Foundry, software and professional services — Rigetti Foundry Services (selling superconducting chips to R&D partners), the quantum operating system/software stack, and algorithm/benchmarking/application engineering.
Revenue composition and quality. This is the crux and a negative. Revenue is tiny, lumpy, partly government, and not yet recurring: FY2025 total revenue of $7.1M is below a single mid-cap company’s daily sales, and it fell year-over-year because hardware/development deals are episodic and a strong prior-year comparison did not repeat. The Q1-2026 jump (+199% to $4.4M) was driven by Novera on-premises sales — genuine, but hardware-shaped and not annuity-like. There is no disclosed recurring-revenue metric, no net-revenue-retention figure, and no software-margin profile; the “platform” framing is aspirational.
Why the chiplet/Fab-1 thesis matters (and its limits). The central engineering bet is that the path to fault-tolerant quantum computing — which will require thousands to millions of physical qubits — runs through modularity rather than ever-larger monolithic chips. Large monolithic superconducting chips suffer yield, uniformity and wiring problems that worsen with size; Rigetti’s answer is to fabricate small, high-yield 9-qubit chiplets and interconnect them, validated by the Cepheus-1-36Q (4 chiplets) and now Cepheus-1-108Q (12 chiplets) systems. Owning Fab-1 lets Rigetti iterate process recipes (e.g., the Air-Force-funded ABAA — Alternating-Bias Assisted Annealing — to improve qubit coherence) faster than competitors dependent on external foundries. This is a genuine, differentiated thesis and the reason Quanta — a contract-manufacturing giant — chose Rigetti. The limits: (1) modularity introduces inter-chip error and latency that must be engineered away, and chiplet fidelity (99.1%) still trails monolithic trapped-ion systems; (2) IBM and Google can and do pursue their own modular/networked approaches with vastly larger fabs and budgets; and (3) a manufacturing edge only becomes an economic moat if it produces a product customers pay for at scale — which does not yet exist. It is a credible technical differentiator, not yet a commercial advantage.
History and structure. Founded in 2013 by Chad Rigetti (ex-IBM quantum researcher); headquartered in Berkeley, California; ~162 full-time employees. Went public in March 2022 via SPAC merger with Supernova Partners Acquisition Company II — the origin of the public and private warrants that dominate the GAAP earnings line. Founder Chad Rigetti departed; Dr. Subodh Kulkarni (ex-CDW/3D Systems) has been CEO since December 2022. The company is an Emerging Growth Company under the JOBS Act, with the reduced disclosure that implies.
Verdict. A technically credible, vertically-integrated superconducting quantum-hardware business with a genuinely differentiated manufacturing thesis (chiplets + Fab-1) — but, economically, a research-and-development organization with a small, lumpy, shrinking, government-heavy revenue line attached. It is not yet a commercial business in any meaningful sense; it is a bet on a future product.
3. Industry Dynamics
Market structure. Quantum computing is a genuine, deeply-funded, multi-decade technology race — and a textbook early-stage, pre-profit-pool industry. Total current commercial revenue across the entire gate-model quantum sector is a few hundred million dollars globally; the often-cited “$1 trillion+ by 2040” figures (BCG, McKinsey) are decades-out TAM projections, not addressable revenue today. The industry is split across competing physical modalities with no settled winner:
- Superconducting (Rigetti, IBM, Google, Amazon Ocelot, IQM): fastest gate speeds, most mature manufacturing, but lower fidelity and harder error-correction overhead; requires dilution refrigerators.
- Trapped ion (IonQ, Quantinuum/Honeywell): highest fidelity and all-to-all connectivity, slower gates, harder to scale ion counts.
- Neutral atom (Pasqal, Atom Computing, QuEra): promising scaling, earlier-stage.
- Photonic (PsiQuantum, Xanadu): room-temperature promise, very early.
- Quantum annealing (D-Wave): a specialized, non-universal approach for optimization.
- Topological (Microsoft Majorana): high-risk, potentially high-reward, unproven.
Profit pool: essentially zero today. No gate-model quantum company earns an operating profit. The entire listed pure-play cohort (RGTI, IONQ, QBTS, QUBT) is loss-making and cash-burning, funded by equity issuance. The economic customers today are governments, national labs and a handful of R&D-budget enterprises buying access for experimentation — not production workloads. Revenue is real but is R&D-budget revenue, not commercial demand.
The competitive intensity is uniquely brutal for Rigetti. Unlike IonQ (which at least has the trapped-ion field largely to itself among public names, with private Quantinuum as the main rival), Rigetti competes in superconducting quantum computing directly against IBM, Google, Amazon and Microsoft. IBM alone has a published multi-year roadmap (Heron, Kookaburra, Starling), thousands of qubits deployed, and an R&D budget measured in the billions; Google’s Willow chip demonstrated below-threshold error correction. Rigetti’s entire FY2025 R&D spend ($61M) is a rounding error against any one of these. A sub-scale specialist spending against opponents with effectively unlimited capital, in the same modality, is the worst possible competitive structure.
Regulatory/geopolitical tailwind (real but double-edged). Quantum is a designated U.S. national-security priority. The National Quantum Initiative, DARPA programs, Air Force grants, and the proposed $100M CHIPS & Science Act award to Rigetti are genuine non-dilutive support and a meaningful validation. But this support flows to a field of contenders (IBM, IonQ, Quantinuum, PsiQuantum, Atom, etc.), not to Rigetti specifically, and government revenue is cost-plus-ish, lumpy and procurement-cycle-dependent.
Marathon capital-cycle read: late and dangerous. Capital is flooding into quantum — SPACs, secondary offerings, government grants, strategic corporate investments — precisely the supply-side surge that Marathon warns destroys returns. Asset growth (Rigetti’s balance sheet went from ~$127M to ~$584M of equity in a year via issuance) is explosive while returns on that capital are deeply negative. The asset-growth anomaly predicts poor forward returns for exactly this profile.
Listed pure-play cohort — a comparison. The four public pure-plays differ sharply in scale and modality, and the comparison is unflattering to Rigetti on revenue and fidelity:

Rigetti has the smallest and only-shrinking revenue of the cohort, the lowest headline fidelity among the gate-model names, yet an EV second only to IonQ. Against the unlisted competition — IBM, Google, Amazon, Microsoft, PsiQuantum, Quantinuum — the resource gap is an order of magnitude or more. (Peer figures are approximate, triangulated from public reporting; treat as orientation, not precision.)
Verdict: structurally BAD industry for an independent sub-scale player today. Real long-term promise, zero current profit pool, no settled winning modality, and — for Rigetti specifically — direct competition against the largest technology companies on earth in the same physical approach, while it carries the smallest and only-declining revenue base in its own listed cohort. The industry will likely matter enormously in a decade; whether Rigetti is a profitable participant is a separate and much weaker proposition.
4. Competitive Position
Does Rigetti have a moat? In the Greenwald sense — a barrier to entry tied to a financial outcome that would deteriorate without it — the answer today is no. Run the tests:
- Economies of scale + customer captivity: Rigetti is sub-scale, not scaled. It has the smallest R&D budget and revenue base of the credible superconducting players. There is no installed base large enough to create captivity, no switching costs (customers access multiple quantum backends through the same cloud marketplaces), and no network effect (one user’s quantum job does not make another’s better).
- ROIC test: deeply negative. A moat must show up in returns; Rigetti’s returns are the opposite of a moat — every incremental dollar of invested capital currently destroys accounting value. By the framework’s own logic, if there is no franchise margin, there is no franchise.
- Market-share stability test: quantum market shares are unstable by definition (the technology is pre-commercial), but to the extent “share” means mindshare and benchmark leadership, Rigetti is losing relative ground: its 99.1% two-qubit gate fidelity trails IonQ (99.99%), Quantinuum (99.92%), and is behind the error-correction milestones demonstrated by Google and IBM. Fidelity is the single most important quality metric in gate-model quantum, and Rigetti is not at the frontier.
Where the genuine, defensible assets are:
- Fab-1 and vertical integration. Owning a dedicated superconducting fab is a real, scarce capability and a source of iteration speed and process IP — arguably Rigetti’s best asset and the reason Quanta partnered with it.
- The chiplet/modular architecture. If superconducting quantum computing scales via tiling rather than ever-larger monolithic chips, Rigetti’s early bet on chiplets (and its ABAA fabrication technique, Air-Force-funded) could prove prescient. This is a real, differentiated technical thesis — but it is unproven at the scale that matters, and IBM/Google can pursue modularity too.
- A decade of accumulated superconducting know-how and patents. Real, but not exclusive, and not obviously ahead of the hyperscalers.
The hyperscaler comparison, made concrete. The competitive problem is not abstract. In the same superconducting modality:
- IBM has a published, dated roadmap (Heron → Flamingo → Kookaburra → the “Starling” fault-tolerant system targeted for ~2029), hundreds of qubits already deployed across a global fleet of cloud-accessible machines, an enormous installed Qiskit developer ecosystem (millions of users), and an R&D budget in the billions. IBM’s quantum effort alone likely out-spends Rigetti’s entire enterprise by an order of magnitude.
- Google demonstrated below-threshold error correction with its Willow chip (105 qubits) in late 2024 — a landmark result showing that adding qubits can reduce logical error rates, the single most important milestone on the path to fault tolerance. Rigetti has not published a comparable result.
- Amazon (Ocelot, a cat-qubit chip) and Microsoft (topological Majorana, plus an Azure Quantum cloud that ironically distributes Rigetti’s own hardware) are both pouring resources in.
Rigetti’s counter is that it is more focused and more manufacturing-integrated than these diversified giants, and that chiplets are a better scaling path. That is a coherent argument — but “we are smaller and more focused” is a hope, not a moat, when the opponents have demonstrated comparable-or-better technical milestones with vastly more capital. The most telling datapoint: Rigetti distributes its hardware through Amazon’s and Microsoft’s clouds — it depends on its competitors for distribution.
These are capabilities, not moats. A capability becomes a moat only when it produces durable excess returns competitors cannot replicate. Rigetti’s capabilities are being out-resourced by competitors with 10–100× the capital, and its headline quality metric trails. The Quanta partnership is a tacit admission that Rigetti could not scale manufacturing alone — a sensible move, but also a tell about standalone capability.
Verdict: no durable competitive advantage today. A differentiated technical approach (chiplets + owned fab) inside a crowded, hyperscaler-dominated modality, with fidelity behind the leaders and negative returns on capital. The bull thesis requires the chiplet bet to win and Rigetti to remain independent and relevant against IBM/Google — a low-probability, high-payoff option, not a moat.
5. Growth History and Forward Opportunities
Historical “growth” is negative. Revenue: FY2021 $8.2M → FY2022 $13.1M (peak) → FY2024 $10.8M → FY2025 $7.1M (−34%). This is not a growth company by the income statement; it is a company whose revenue has declined over three years as lumpy hardware and development deals failed to repeat. The only growth that has compounded reliably is the share count (133M → 332M, ~2.5× in ~2.5 years) and the accumulated deficit (−$771M).
Q1-2026 optics. Revenue rose +199% to $4.4M (from $1.47M in a weak Q1-2025) on Novera on-premises sales — management frames this as “meaningful year-over-year revenue growth … albeit with some variability quarter-to-quarter.” Translation: a single large hardware order can double a quarter, and the absence of one can halve it. At $4.4M/quarter run-rate, full-year 2026 revenue might reach ~$15–20M if hardware deliveries continue — still a rounding error against a $6.4B EV, and still hardware-shaped.
Forward opportunities (the optionality being priced):
- 108Q → error-correction-ready systems → quantum advantage (~2028-29). The roadmap is to push Cepheus-1-108Q’s median two-qubit fidelity toward ~99.5%+, then advance to higher-qubit, higher-fidelity chiplet systems with error-correction support (collaborating with Riverlane). Hitting these milestones could unlock follow-on government funding and commercial pilots.
- Novera on-prem sales. A genuine near-term revenue line as labs and enterprises buy dedicated QPUs; the most tangible commercial motion today.
- Quanta manufacturing partnership. Could solve the chip-production-scaling bottleneck and, if commercialization arrives, provide a manufacturing partner with Fortune-500 scale.
- Government/defense pull. DARPA QBI, Air Force, the proposed $100M CHIPS award — credibility and non-dilutive cash.
The revenue buckets, dissected. Because there is no segment P&L, the revenue mix must be triangulated:
- Systems / QPU sales (Novera): the visible near-term driver. Each on-premises Novera sale is a meaningful six-figure-to-low-seven-figure ticket, which is why one order can swing a quarter ±50%. These are capital sales to labs/universities/governments — real, but non-recurring, hardware-margin, and capacity-limited by Fab-1 output (the bottleneck Quanta is meant to relieve).
- QCaaS / cloud access: the strategically central, highest-margin bucket — but disclosed as small and not separately quantified. If Rigetti were monetizing cloud consumption at scale, management would headline it; the silence is itself informative.
- Government development contracts (~48% of FY2025): DARPA QBI, Air Force (AFOSR/AFRL), national labs. Credible and non-dilutive, but cost-plus-ish, milestone-gated, and politically/procurement-exposed. Heavy government concentration is a double-edged quality marker — it validates the technology but signals the commercial market is not yet paying.
- Foundry / professional services: Rigetti Foundry Services (selling chips to R&D partners) and algorithm/benchmarking engagements — bespoke, lumpy, low-volume.
The composition tells you this is R&D-budget revenue, not commercial demand: ~half government, the rest episodic hardware and services, none of it recurring or scaling. The “+199% Q1-2026” headline is real arithmetic off a depressed base, not evidence of a durable ramp.
Verdict: low-quality, negative-trending growth with high-variance optionality. The realized growth history is decline; the forward case is a binary technical bet, not a revenue ramp visible in the numbers. Any investor paying today’s price is underwriting the optionality, not the business.
6. Financial Quality
Revenue and margins. FY2025 revenue $7.1M; gross profit ~$3M TTM (~30% blended gross margin, but this is on a trivial base and includes lower-margin hardware). There are no scale economics visible because there is no scale — operating expenses dwarf revenue by ~12×.
Operating losses and burn. FY2025 operating loss −$84.7M (R&D $61.3M + G&A/S&M); operating cash burn −$58.5M; Q1-2026 operating loss −$26.0M, op cash burn −$16.2M (annualizing to ~$65M). Burn is being partly offset by interest income on the ~$569M investment portfolio (a meaningful tailwind at current rates) and by non-dilutive grants. At ~$60–65M annual cash burn against ~$569M of liquidity, Rigetti has roughly 9+ quarters of runway before another raise — a genuine strength relative to weaker-balance-sheet peers.
The warrant mirage (quality-of-earnings red flag). GAAP net income is dominated by the non-cash mark-to-market of derivative warrant liabilities:
- FY2025 net loss −$216.2M, of which −$150.6M was a warrant fair-value loss (the stock rose sharply in 2025, increasing the liability).
- Q1-2026 net income +$33.1M, flattered by a warrant fair-value gain (the stock fell from its peak, decreasing the liability), against an operating loss of −$26.0M. This is the same structural distortion seen at IonQ and Ondas: net income moves inversely to the stock and tells you nothing about operations. Helpfully, Rigetti reports that the warrant liability fell to $0 by Q1-2026 (warrants largely exercised), so this distortion should diminish going forward — but it also means the historical GAAP series is uninformative and must be normalized to operating loss and cash burn.
Balance sheet (the bull case). At 2026-03-31: cash $48.1M + AFS investments $520.8M (short $370.1M + long $150.7M) = ~$569M liquidity; total liabilities just $67.1M (now that the warrant liability is gone, mostly leases, payables and deferred revenue); negligible debt (~$6.8M finance leases); stockholders’ equity $583.6M; book value ~$1.74/share, of which ~$1.70 is net cash. This is a fortress balance sheet for a company this size — the single most important fact keeping the stock off the floor.
SBC. FY2025 stock-based compensation was $17.6M — meaningful relative to revenue ($7.1M) but modest relative to peers and to the burn, and far smaller than IonQ’s. Dilution has come overwhelmingly from financing (ATM equity sales and warrant exercises), not from compensation.

FY2024 GAAP net loss was itself distorted by a −$90.2M warrant FV loss. The pattern is unmistakable: revenue falling, R&D and operating losses rising, share count and accumulated deficit climbing, GAAP net income swinging wildly on warrant marks, and equity rebuilt purely by issuance. The only line moving “up and to the right” for shareholders is dilution. (Figures marked ~ are approximate/triangulated; FY2025 and Q1-2026 are filing-exact.)
Returns. ROE −57%, ROA −12%, ROIC deeply negative. There are no unit economics to extract because there is no repeatable commercial unit yet — gross profit of ~$3M cannot cover a single month of R&D.
Verdict: economics do NOT improve with scale — there is no scale, and every dollar deployed currently destroys accounting value. The one genuinely high-quality element is the balance sheet (large net cash, no debt, multi-year runway). Everything above the cash line is pre-commercial R&D spend funded by share issuance.
7. Capital Allocation
The core capital-allocation act is serial equity issuance into strength. Rigetti has repeatedly used at-the-market (ATM) programs to sell stock — most consequentially into the January–February 2025 spike to ~$58 — taking the share count from ~192M (late 2024) to ~286M (March 2025) to ~332M (now). To management’s credit, issuing equity into a thematic mania is the right move for a pre-revenue company (it minimized dilution per dollar raised relative to selling at $2), and it built a ~$569M war chest with essentially no debt. This is competent opportunistic financing — but it is financing, not value-creating capital allocation, and it has roughly 2.5×'d the share count.
Use of proceeds: R&D and runway, not returns. The cash funds the burn (R&D, fab, headcount) and sits in Treasuries earning interest. There are no buybacks, no dividend (entirely appropriate — a pre-revenue company should not return capital), and no large acquisitions — notably, Rigetti did not run the stock-funded acquisition spree that IonQ did, so its balance sheet is clean (minimal goodwill/intangibles). That is a point in its favor on accounting transparency.
The dilution and warrant mechanics, quantified. The share-count path is the clearest window into the model. Rigetti entered 2024 with ~159M shares and exited Q1-2026 with ~332M — a +109% increase in ~27 months. The decisive tranche came in Q1-2025, when shares jumped from ~192M to ~286M (+94M) as the company sold equity into the $40–58 spike. On top of ATM sales, the public and private SPAC warrants (struck near $11.50) were exercised through 2025–Q1-2026 as the stock traded well above strike — adding both shares and exercise-price cash, and extinguishing the derivative liability that had been whipsawing GAAP earnings. The net effect: a fortress balance sheet, but built by handing new owners ~half the company. For a pre-revenue company this is the correct trade (cash now, at a high price, beats insolvency later) — but a fundamental buyer must recognize that per-share value has been systematically transferred to the issuance, and the model guarantees more of it until commercialization or capitulation.
Strategic partnerships as capital allocation. The Quanta Computer deal (combined commitment >$200M over five years; $35M equity closed at ~$11.59/share in Q2-2025) is the most significant capital event — it brings a Fortune-500 manufacturing partner and validation, and the equity was sold above the current Fab-1-scaling need. The proposed $100M CHIPS Act award and the Air Force/DARPA grants are non-dilutive funding that stretches the runway. These are sensible, on-strategy moves.
Incentive alignment (weak-to-neutral). Rigetti is an Emerging Growth Company with reduced disclosure. Executive comp is salary + stock options/RSUs/restricted stock + an annual bonus tied to “corporate performance objectives” — standard early-stage structure, but no disclosed ROIC, revenue or TSR hurdles of the kind a value investor wants to see. Insider ownership is just ~1.78%, and there is no evidence in the Form 4 record of meaningful discretionary open-market insider buying (the signal that would indicate management conviction at the current price). Insiders are aligned to equity value via grants, which in a story stock can incentivize narrative and issuance over per-share discipline.
Verdict: opportunistic financing executed competently; genuine capital allocation not yet tested. Management raised cash intelligently into strength, kept the balance sheet clean, and secured strong partners and non-dilutive funding — all defensible. But the entire model is “issue equity → fund R&D → hope for commercialization,” shareholders have been heavily diluted, incentive hurdles are soft, insiders own little, and no one is buying in the open market. Competent treasury management; unproven value creation.
8. Changes and Headwinds — Last Two Years
Strategic / product changes:
- March 2022: went public via SPAC merger (Supernova II).
- Dec 2022: Subodh Kulkarni became CEO (founder Chad Rigetti departed).

10. Valuation Discussion (Embedded Expectations)
The multiples are off the conventional scale. At ~$20.98 and ~332.4M shares: market cap ~$6.97B, net cash ~$562M, EV ~$6.4B. Against FY2025 revenue of $7.1M (or ~$10M TTM), that is EV/sales of ~640–900×. For context, IonQ — with ~18× more revenue that is growing — trades at ~72× forward sales and we flagged that as fantasy. Conventional valuation frameworks (DCF, EV/EBITDA, P/E) are meaningless here: there are no profits, no positive cash flow, and no visible revenue ramp to discount.
The only honest frame is “cash plus an option.”
- Net cash floor: ~$562M ÷ 332.4M ≈ $1.70/share. This is the hard-asset anchor — what you would get in a (hypothetical) wind-down before any business value.
- Option value: everything above $1.70 — i.e., ~$19.30 of the $20.98 price, or ~$6.4B — is the market’s valuation of the probability-weighted payoff of Rigetti reaching commercial-scale quantum computing and capturing meaningful share. To justify $6.4B of option value at, say, a future 20× sales multiple and a 50% probability of success, Rigetti would need a credible path to >$640M of revenue — ~90× its current base — in a reasonable horizon. That is an extraordinary embedded expectation for a company whose revenue is currently declining.
Reverse-multiple sanity check. Even granting a generous, software-like 20× forward sales on eventual success, $6.4B EV implies ~$320M of revenue must be not just achieved but sustained and high-margin — ~45× the FY2025 base — before the stock is merely fairly valued on that optimistic multiple. The market is pricing a decisive commercial victory as the base case.
Peer-multiple context (all extreme, RGTI the most extreme).

Every name in the cohort is priced on TAM and narrative rather than fundamentals, but Rigetti carries the richest EV/sales multiple of all — on the only revenue line that is shrinking. Even normalizing to TTM (~$10M) leaves ~640× sales. There is no peer, no historical analog, and no DCF that supports this multiple on the current business; it is sustained entirely by the embedded option on commercialization.
Own-history context. AZI’s valuation index places RGTI at the 88th percentile on P/S and 80th composite versus its own ~history — i.e., expensive even relative to its own (already-elevated) past, not cheap. The $58 high was ~2.8× the current price and a pure mania artifact; the $10.30 low is ~6× the net-cash floor, so even the 52-week low embedded substantial option value.
Scenario sketch (illustrative, not a target):
- Bear (de-rate to cash-plus-modest-option): the thematic bid fades, revenue stays sub-scale, multiple compresses toward a few × net cash → low-single-digit to high-single-digit dollars.
- Base (muddle, perpetual option): technology progresses, milestones are hit, revenue grows slowly but commercialization stays years out; the stock trades as a volatile option on sentiment, range-bound and dilutive → roughly current levels give or take, with high variance.
- Bull (commercialization credibly arrives): error-correction milestones land, Quanta-enabled manufacturing scales, revenue inflects toward hundreds of millions with defensible margins → the current price could prove cheap, but only on a multi-year, low-probability, hyperscaler-beating outcome.
What the market is underwriting correctly vs. incorrectly. Correctly: that quantum is real, that Rigetti has genuine technology and a fortress balance sheet, and that the option is worth something. Incorrectly (in my view): the magnitude — pricing a sub-scale, revenue-shrinking specialist as a probable winner against IBM/Google, at a multiple that leaves zero margin of safety and ignores both the dilution path and the competitive structure.
No price target. No buy/sell (the single opinion is confined to the Author’s Take at the top).
11. Variant Perception
Consensus belief. Rigetti is a leading pure-play on the quantum-computing revolution, with differentiated chiplet technology, an owned fab, a Fortune-500 manufacturing partner (Quanta), government validation (DARPA, Air Force, a proposed $100M CHIPS award), and a strong balance sheet — a high-beta way to own the theme. Sell-side targets cluster ~$25–30.
Strongest bull case. Quantum computing is a winner-take-most market with a trillion-dollar TAM; superconducting is the most manufacturable modality; Rigetti’s chiplet architecture + Fab-1 + Quanta give it a credible, capital-light path to scale; the balance sheet funds the journey without near-term dilution pressure; and at a ~$6B market cap, if it becomes one of two or three commercial-scale providers, the stock is a multi-bagger. You are buying a cheap call option on a transformational technology.
Strongest bear case (the variant view). The market has confused “real technology” with “a real business.” Revenue is $7M and shrinking; the company competes in superconducting directly against IBM, Google, Amazon and Microsoft and its headline fidelity already trails IonQ and Quantinuum; the ~$6.4B EV is ~900× sales, an order of magnitude beyond even IonQ’s stretched multiple; GAAP “profits” are a warrant mirage; and the entire model is dilution-funded (133M→332M shares). The Marathon capital cycle is screaming — capital flooding a hot theme, explosive asset growth, deeply negative returns — which historically predicts poor forward returns. Strip the narrative and you are paying $6.4B for ~$1.70/share of cash and a low-probability, high-payoff option.
The 4 assumptions that matter most, and what would falsify each:
- Superconducting (and Rigetti’s chiplet variant) is a winning modality. Falsified by: trapped-ion/neutral-atom/photonic pulling decisively ahead on fidelity and scaling, or Rigetti’s fidelity continuing to lag.
- Rigetti remains relevant against the hyperscalers. Falsified by: IBM/Google extending their lead on error-corrected qubits while Rigetti’s roadmap slips.
- Commercialization arrives before dilution/sentiment exhaustion. Falsified by: continued revenue stagnation/decline and repeated ATM raises into a falling stock.
- The valuation can be grown into. Falsified by: the ~900× sales multiple compressing as the thematic bid fades (already underway — RGTI −19% YTD).
Evidence that would flip the bull/bear balance. Bullish flip: demonstrated error-correction-ready systems with fidelity at the front of the superconducting pack, plus an organic, recurring, high-margin revenue inflection. Bearish confirmation: a roadmap slip or guidance reset while the equity-issuance window narrows.

14. What Must Be True
For the BULL case to be right (and the current price to prove cheap):
- Rigetti’s chiplet/superconducting approach must reach error-correction-ready, front-of-pack fidelity within ~2–3 years, demonstrating a credible path to quantum advantage.
- Revenue must inflect from $7M toward hundreds of millions with defensible, software-like margins — i.e., genuine commercialization, not lumpy hardware.
- Rigetti must stay relevant and independent against IBM/Google/Amazon/Microsoft in the same modality, with Quanta enabling manufacturing scale.
- The balance sheet must fund the journey without ruinous dilution before commercialization.
- Falsification test: if, over the next 4–6 quarters, fidelity does not reach the front of the superconducting pack, revenue does not show a durable organic ramp, and the company runs another large ATM into a falling stock, the bull thesis is broken.
For the BEAR case to be right (the variant view):
- The ~900× sales valuation must compress as the thematic bid fades and revenue stays sub-scale.
- Hyperscalers must extend their lead while Rigetti’s fidelity/roadmap lags, confirming it cannot win the modality.
- Dilution must continue, and government/grant revenue must remain lumpy and ~half the total.
- Falsification test: if Rigetti demonstrably reaches front-of-pack fidelity AND posts a durable, organic, high-margin revenue ramp AND the multiple holds, the bear thesis (overvalued sub-scale also-ran) is broken.
The crux: both cases agree the technology is real and the balance sheet is strong. They disagree on magnitude and probability — whether a sub-scale, revenue-shrinking specialist can beat the largest technology companies on Earth in their own modality, and whether a ~900× sales price leaves any margin of safety. The weight of the evidence — declining revenue, lagging fidelity, brutal competitive structure, and a Marathon-textbook capital cycle — favors the bear on valuation, while the fortress balance sheet and real optionality keep it off the floor and make it dangerous to short.
