Verdict: HOLD / accumulate-on-weakness at $168.98 — a genuinely high-quality electronic-materials business at a price that already underwrites the AI-content supercycle running uninterrupted. Not a short (the moat is real, the earnings are not at a cyclical peak, and the AI/advanced-packaging tailwind is genuine), but there is no margin of safety here. The accumulate zone is roughly ~$115–135 (≈ 18–21x forward adjusted operating EBITDA / ~30–34x forward adjusted EPS), where you pay a fair price for one of the best franchises in the semiconductor supply chain and get the optionality on a faster AI ramp closer to free. Conviction: medium.

Qnity is the part of DuPont worth owning — the CMP slurries and pads, the photoresists, the advanced cleans, the Kapton and the plating chemistry that sit inside virtually every leading-edge chip and AI accelerator package. The moat is real and it is the right kind: materials qualified “copy-exact” into a customer’s process flow (a “process of record”), where switching suppliers risks the single most expensive failure a fab can suffer — a yield excursion. That demand-side captivity shows up exactly where it should, in a 46% gross margin and a Semiconductor Technologies segment that earns a ~36% EBITDA margin. The business is also riding two genuine, multi-year tailwinds at once: more CMP and lithography steps per wafer as nodes shrink toward 2nm and below, and a step-change in material intensity per package as the industry moves “from shrink to stack” — exactly the advanced-packaging, thermal-management and AI-PCB content where the Interconnect segment is growing 22%+ organically and >50% in its AI-levered lines. Eight straight quarters of profitable organic growth, a raised FY26 guide, and an NVIDIA materials collaboration are not nothing.

The problem is price and the fine print. At ~$169 the stock has more than doubled off its November-2025 spin-low of $73.40 in seven months, and now trades at ~42x forward adjusted EPS, ~24–25x forward adjusted EBITDA and ~7.3x forward sales — richer on EBITDA than where most of this peer group has historically lived, with a ~1.5% free-cash-flow yield held down (for now) by a deliberate ~9%-of-sales capacity build. My framing: this is a crowded, high-quality, positive-momentum AI-supply-chain trade at a full multiple, not a falling knife and not a value setup — the Quality (+0.74) and Momentum (+0.45) factor loadings confirm it. And the carve-out math flatters the optics: reported FY25 EPS of $3.30 carried only two months of the new ~$4B debt load, so the honest earnings base is the standalone FY26 guide, not the headline. Underneath sits a balance sheet with negative tangible equity, ~2.2x leverage, no permanent CFO, and an uncapped 44% indemnity for DuPont’s legacy PFAS and environmental liabilities that DuPont itself controls the defense of — a genuine, if hard-to-size, tail. The single piece of evidence that would flip me bullish: a 15–25% de-rate (into the low-$130s or below) with the AI-content outgrowth and ICS margin expansion intact. The single piece that would flip me bearish: an AI-capex/memory air-pocket or a PFAS escalation landing while the stock is still priced for perfection. Tag: “You’re buying the best house on the leading-edge — at the asking price the seller dreamed of.”

📈 Stock Price Action — Five-Year Event Map

Qnity has only existed as a tradable security for about seven months, so there is no five-year chart — and that brevity is itself the most important price fact about it. The stock began “when-issued” trading on 2025-10-27 at ~$95, completed its spin from DuPont on 2025-11-01, sagged to a spin-period low of $73.40 (2025-11-24) as index funds that received the distribution mechanically sold it, and has since climbed almost without interruption to $168.98 (2026-06-18, the current price and close of this report) — roughly +130% off the low and at/near its all-time high. The 52-week (really “all-time”) trading range is approximately $70.37 → $171.43. There is no down-cycle, no drawdown, and no bear market in this stock’s lived history — every holder is in profit, the entire record is a one-way melt-up layered on the broad AI-semiconductor rally, and that absence of a stress test is a risk the valuation does not price. 1. Executive Summary

Qnity Electronics is a ~$4.75B-revenue (FY2025) pure-play supplier of the advanced materials consumed in manufacturing semiconductors and advanced electronic interconnects. It was spun out of DuPont de Nemours on November 1, 2025, and is the highest-quality piece of the old DuPont portfolio: the chemistries, films, slurries, pads, photoresists and plating systems that are designed into a chip-maker’s or board-maker’s process and consumed, wafer after wafer and panel after panel, as production runs. It operates two segments — Semiconductor Technologies (~56% of sales, ~36% segment EBITDA margin: CMP slurries/pads, advanced cleans, lithography/photoresists, Kalrez seals, display materials) and Interconnect Solutions (~44% of sales, ~25% margin and rising fast: advanced packaging, thermal management, AI-PCB metallization, Kapton flex). Roughly 10,000 employees, 39 manufacturing sites and 17 R&D labs serve a customer base concentrated in Asia (~79% of sales), led by Samsung (~11%) and TSMC (~8%).

The business is genuinely good, and the moat is real. Qnity’s products are qualified into a “process of record” through multi-quarter qualification cycles; once specced in, switching risks yield, so revenue is sticky and consumed with volume rather than tied to lumpy capital-equipment budgets. The financial fingerprints of that captivity are a 46% gross margin, a ~30% adjusted operating EBITDA margin, an eight-quarter streak of profitable organic growth, and — most importantly — two real multi-year demand tailwinds: rising CMP/litho steps per wafer as nodes shrink (2nm and the “angstrom era”), and a step-change in materials content per package as computing moves “from shrink to stack” (advanced packaging, HBM, thermal). The Interconnect segment’s AI-levered lines (advanced packaging, thermal, AI-PCB) grew >50% year-over-year in Q1-2026.

But the quality is fully priced, and the standalone earnings base is thinner than the headline. At $168.98 (2026-06-18), Qnity carries a ~$35.4B equity market capitalization and a ~$38.8B enterprise value (net debt ~$3.2B). That is ~7.3x forward (FY26) sales, ~24–25x forward adjusted operating EBITDA, ~42x forward adjusted EPS, and a free-cash-flow yield of only ~1.5% (depressed by a deliberate ~9%-of-sales capacity build). The reported FY2025 GAAP EPS of $3.30 is not the right anchor: the carve-out financials carried only two months of the ~$4B of debt the company took on at separation, so full standalone interest expense (~$230M+) and incremental public-company costs make the honest earnings base the company’s own FY26 adjusted-EPS guide of $3.80–4.14. Beneath the income statement sit three real risk markers: negative tangible equity (~$8.6B of carve-out goodwill/intangibles), a leadership team still being built (no permanent CFO; the interim CFO and two open segment-head roles), and an uncapped 44% indemnity for DuPont’s legacy PFAS/environmental liabilities, whose defense DuPont controls — a tail that is hard to size but real.

This report takes no position and sets no price target. The body that follows argues that Qnity is a high-quality, real-moat, AI-and-advanced-packaging-levered franchise that the market has correctly identified and now fully paid for — a crowded, positive-momentum quality trade with no valuation cushion, where the return from here is dominated by multiple risk and tail risk rather than by business quality, which is settled and favorable.


2. Business Overview

What Qnity makes and how it earns. Qnity sells the materials — not the equipment — that go into making leading-edge logic and memory chips and the advanced packages and printed circuit boards (PCBs) that connect them. Its products are consumables and specialty inputs: chemical-mechanical planarization (CMP) slurries and polishing pads that flatten wafer surfaces between layers; advanced cleaning chemistries that remove defects; photoresists and lithography ancillaries that pattern circuits (including EUV sub-layers); perfluoroelastomer (Kalrez) sealing parts for harsh fab environments; Kapton polyimide films; Riston dry-film photoresists; and a broad metallization/plating chemistry portfolio (Circuposit, Microfill copper, Nikal, Silveron) for advanced packaging and PCBs. The unifying business model is “consumed-with-production”: once a Qnity material is qualified into a customer’s process of record, it ships every time the customer runs a wafer or a panel, generating recurring, volume-linked revenue rather than one-time equipment sales.

Segment structure. Qnity reports two segments (FY2025 figures from the 10-K; segment profit measured as adjusted operating EBITDA):

  • Semiconductor Technologies is the crown-jewel franchise — the wafer-level materials (polish, clean, pattern) where Qnity holds strong process-of-record positions at the leading edge and earns ~36% segment EBITDA margins. Growth here is driven by content per wafer: every additional node-shrink adds CMP steps, more demanding cleans, and more intricate patterning, so Qnity grows faster than wafer-start volume (management tracks “MSI” — million square inches of wafer starts — as the baseline it aims to outgrow).
  • Interconnect Solutions is the higher-growth, AI-levered engine. Its margin has expanded from ~18.7% to ~25.5% over three years as its mix shifts toward the highest-value lines: advanced packaging (the “stack” — chiplets, 2.5D/3D, HBM), thermal management (removing heat from data-center silicon), and AI-PCB metallization (the high-layer-count, fine-line boards inside AI servers). These three lines collectively grew >50% YoY in Q1-2026.

Revenue composition and recurring nature. Revenue is overwhelmingly recurring in the economic sense — it recurs with the customer’s production volume and with each new node/package generation that Qnity is qualified into — though it is not “recurring” in the SaaS contractual sense. There are no long-term take-or-pay contracts disclosed; stickiness comes from qualification lock-in, not from contracts. End-markets are shifting favorably from consumer electronics toward data center/AI (management estimates data center is approaching ~20% of the portfolio, up from ~15% a year earlier), autonomous driving, communications infrastructure, and aerospace/defense.

Geography and customers. Asia-Pacific is ~79% of sales (the chips are made where Qnity’s materials are consumed); China is ~33% of sales — a meaningful export-control exposure, though management notes its China business is concentrated in mature-logic nodes, not the most advanced technologies. Customer concentration is moderate-to-high: the top 10 customers are ~34% of sales, with Samsung at ~11% (a >10% customer) and TSMC at ~8% — i.e., the company’s fortunes are tied to a handful of the world’s largest chipmakers.

Verdict: A focused, high-quality electronic-materials business with a genuinely attractive model (volume-linked, consumed-with-production, qualified-in) and favorable end-market mix shift toward AI. The two-segment structure pairs a high-margin wafer-materials franchise with a faster-growing, AI-content interconnect franchise. This is one of the better business descriptions in the semiconductor supply chain.


3. Industry Dynamics

Where Qnity sits in the value chain. The semiconductor and advanced-electronics supply chain runs from equipment makers (ASML, Applied Materials, Lam, KLA, MKS) to materials suppliers (Qnity, Entegris, Merck KGaA Electronics, Resonac, Shin-Etsu, JSR, Soulbrain, Element Solutions) to the fabs and OSATs (TSMC, Samsung, Intel, SK Hynix, Micron, ASE, Amkor) to the chip designers and OEMs (NVIDIA, Apple, AMD, the hyperscalers). Qnity is a materials supplier — structurally a better place to sit than the capital-equipment names, because its revenue is consumed per wafer/panel produced and so is far less violently cyclical than the equipment budget. As an analysis of close peer Entegris frames it, the consumables/materials layer is “more impacted by global semiconductor demand and GDP growth than by semiconductor capital equipment sales,” which historically swing far harder.

Market structure and profit pools. The electronic-materials industry is a collection of oligopolistic niches rather than one monolithic market. In CMP slurries and pads, Qnity competes principally with Entegris (which acquired CMC Materials, the historical CMP leader, in 2022) and a handful of others — a structurally concentrated, high-margin niche. In photoresists, the leaders are the Japanese majors (JSR, Tokyo Ohka, Shin-Etsu) plus Merck KGaA; in advanced-packaging/PCB chemistry, Element Solutions and Resonac are the principal rivals. The common feature across niches: qualification lock-in creates durable share and supports 40%+ gross margins for the entrenched players, while sub-scale entrants struggle to win process-of-record positions. This is a structurally good industry for the qualified incumbents.

Demand drivers — two real, multi-year tailwinds. First, node migration: as logic moves from 5nm to 3nm to 2nm and into the “angstrom era,” the number of CMP steps, the stringency of cleans, and the complexity of patterning all rise — so materials content per wafer grows faster than wafer volume. Second, “shrink to stack”: with classical Moore’s-Law scaling hitting physical limits, performance gains increasingly come from advanced packaging — stacking chiplets and high-bandwidth memory (HBM) vertically, which multiplies process steps and materials intensity per device and elevates the importance of interconnect, thermal management and reliability. The AI build-out concentrates demand in exactly these highest-value areas. This is the structural heart of the bull case and it is genuine.

Cyclicality and the capital cycle (Marathon lens). The industry is cyclical — the 2023 downturn cut Qnity’s revenue from $4,755M (2022) to $4,035M, a ~15% peak-to-trough decline, and the memory market in particular swings hard. The current up-cycle is being driven by AI capex, which is itself running at an extraordinary, arguably unsustainable, pace; a Marathon-style supply-side read would flag that the wall of fab and advanced-packaging capacity being built (TSMC, Samsung, Intel, plus Chinese mature-node expansion) is the classic late-cycle signal that high returns attract capital. Qnity is somewhat insulated because it sells consumables (it grows when fabs run, not just when they build), but it is not immune: a memory/AI-capex air-pocket would compress its volumes and, more dangerously, its rich multiple.

Regulation and geopolitics. Export controls (US/China) are a live risk given 33% China exposure, though Qnity’s China mix skews to mature logic. The “local-for-local” manufacturing strategy (Delaware, Taiwan, regional sites) is a partial hedge against tariff and supply-chain-resilience pressures, and inclusion in Apple’s American-manufacturing program is a tailwind on that axis.

Verdict: a structurally good industry for the qualified incumbent — concentrated, high-margin niches with qualification barriers and two genuine multi-year demand tailwinds (node migration + advanced packaging/AI) — but cyclical, geopolitically exposed, and currently being lifted by an AI-capex wave whose durability is the key external swing factor.


4. Competitive Position

The moat, named. Qnity’s competitive advantage is firm-specific customer captivity (demand-side, in Greenwald’s taxonomy) created by qualification lock-in. A fab or board-maker qualifies a specific Qnity material into its process of record through a multi-quarter (sometimes multi-year) qualification cycle; once qualified, the customer will not casually switch, because a materials change risks a yield excursion — the single most expensive failure in semiconductor manufacturing. Switching costs are therefore real and high, and they compound at the leading edge, where qualification is hardest and the cost of failure is greatest. This is the same moat mechanism that an analysis of close peer Entegris identifies for the consumables layer, and it is a genuine one.

The financial test of the moat — does it show up in the numbers? Yes, clearly. A no-moat materials business is a price-taker with thin, eroding margins (the commodity-chemistry tells seen elsewhere). Qnity instead earns a 46% gross margin, a ~36% EBITDA margin in its Semiconductor Technologies segment, and has expanded margins through scale and mix (consolidated EBITDA margin 26.3% in 2023 → 29.2% in 2025; Q1-26 31.3%). Incremental operating margins have run ~40–60%. These are the fingerprints of pricing power and captivity, not of a commodity. The moat passes the financial test in the Semi segment unambiguously.

Where the moat is narrower. It is concentrated in Semiconductor Technologies. The Interconnect Solutions segment — though it is the faster grower — operates in somewhat more competitive territory (PCB chemistry, plating, thermal) at a lower (~25%) margin, against well-capitalized rivals like Element Solutions and Resonac. ICS’s recent margin expansion is real but partly mix-and-volume-driven (operating leverage on the AI surge), and it is more exposed to share competition than the wafer-materials franchise. The bull case leans heavily on ICS growth; that is the lower-moat flank.

Direct competitive comparison. Named competitors in the 10-K span the niches: Entegris (CMP, the closest pure-play peer and the CMP leader post-CMC), Merck KGaA (electronic materials/litho), Resonac (packaging/CMP), Element Solutions (plating/assembly chemistry), and MKS Instruments (more equipment/subsystems-adjacent). Qnity’s differentiation is the integrated portfolio across both wafer-level and interconnect-level materials — the “shrink-and-stack” pitch that it can serve a customer’s needs from the transistor up through the package, which it argues makes it the “partner of choice” and is the basis for the NVIDIA materials-R&D collaboration. That cross-portfolio breadth is a real, if soft, advantage; it is not the same as a dominant disclosed market share (the company discloses no market-share figures, and the 10-K explicitly states no single patent is essential — so the moat rests on qualification and know-how, not IP).

Pressure-testing. The moat would deteriorate if (a) a major customer dual-sourced or qualified a competitor’s material to de-risk supply (a constant pressure, mitigated by the cost of re-qualification); (b) Chinese domestic materials suppliers moved up from mature to leading-edge nodes (a real long-run threat, currently limited); or © the AI/advanced-packaging content thesis proved more competitive (more share-up-for-grabs) than the legacy wafer-materials franchise. None of these is acute today, but they bound the durability.

Verdict: a durable, real competitive advantage — firm-specific qualification captivity that shows up cleanly in 46% gross margins and ~36% Semi-segment EBITDA margins — concentrated in the Semiconductor Technologies franchise, with a narrower (but faster-growing and improving) position in Interconnect Solutions. This is a genuine moat, not a story; the question for the investor is price, not quality.


5. Growth History and Forward Opportunities

Historical growth — cyclical, with a recovery to a new high. On a carve-out basis, revenue went $4,755M (2022, the prior peak) → $4,035M (2023, the semi downturn, −15%) → $4,335M (2024, +7.4%) → $4,754M (2025, +9.7%, back to the 2022 peak). So over four years revenue is essentially flat-to-the-old-peak — the business is cyclical and the 2022–2025 span captures a full down-and-back cycle rather than secular compounding. The growth quality within that, however, is improving: 2025 growth was organic and broad-based, and margins expanded as mix shifted toward higher-value AI content.

Recent momentum is strong and accelerating. Q1-2026 delivered the eighth consecutive quarter of profitable organic growth: net sales $1.3B (+18% reported, +17% organic, +11% sequential); adjusted operating EBITDA $411M (+22%, margin 31.3%, +125bps); adjusted EPS $1.08 (+33%). Semi grew +12% organic (advanced logic + HBM), and ICS grew +22% organic, with its three AI-levered lines (advanced packaging, thermal, AI-PCB) up >50% YoY. Management raised FY26 guidance to net sales $5.225–5.375B (~+12% YoY at the midpoint), adjusted operating EBITDA $1.535–1.625B, adjusted EPS $3.80–4.14, and adjusted FCF $500–600M, and lifted its MSI (wafer-start) growth assumption from mid-single-digits to mid-to-high-single-digits.

Forward opportunities.

  • Content-per-wafer at the leading edge: 3nm volumes scaling, 2nm starting in 2H-2026, “angstrom era” (16/14/10) in R&D engagement — each node adds CMP/clean/litho steps, so Qnity outgrows wafer volume.
  • Advanced packaging / “stack”: the structurally fastest-growing area, multiplying materials content per device; HBM4 ramping; AI-PCB layer counts and density rising — all in ICS’s wheelhouse.
  • Capacity to capture it: new Delaware facility (385k sqft, opened Mar-2026) and a new Taiwan site (operational early 2027) expand CMP and advanced-materials capacity in the right geographies. Management invests behind process-of-record wins, so capex is high-return and demand-validated.
  • Self-help: a transformation plan targeting ~$100M of EBITDA run-rate benefit by end-2028 (productivity, commercial excellence, local-for-local), plus IT/TSA separation completion removing dis-synergies.

The caveat on growth quality. The forward case is genuinely attractive, but two things temper it. First, it is cyclically and AI-flattered — a large share of the acceleration is the current AI/advanced-packaging wave, which is the most cyclical and arguably most over-built part of the demand base. Second, the per-share growth will run below the EBITDA growth because of the new interest burden and elevated capex; the carve-out EPS optics overstate the standalone earnings power (see §6). High-quality growth, yes — but riding a hot cycle, and not yet proven through a standalone down-cycle.

Verdict: high-quality, organic, content-driven growth with two real multi-year tailwinds and strong near-term momentum — but cyclically and AI-flattered, capacity- and capital-intensive in the near term, and unproven through a standalone downturn. The growth is real; the question is how much of a flawless ramp is already in the price.


6. Financial Quality

Profitability and margins. Qnity is a high-margin business: gross margin ~46% (up from 43.5% in 2023), adjusted operating EBITDA margin ~30% and rising (Q1-26 31.3%), operating margin ~21%. Margins expand with scale and favorable mix — the incremental operating margin has run ~40% — which is the signature of a business whose economics improve as it grows. This is genuine financial quality.

The carve-out trap — the single most important quality-of-earnings point. The pre-spin financials are carve-out/combined statements and are not comparable to the go-forward standalone company. The critical distortion: FY2025 interest expense was only ~$65M, because the ~$4B of debt was put on the balance sheet only at separation (two months of the year). On a full standalone basis, interest expense runs ~$230M+ per year. So the reported FY2025 GAAP EPS of $3.30 materially overstates standalone earnings power — a full year of standalone interest alone would cut roughly ~$0.60–0.80 off EPS, before incremental standalone public-company costs (~$180M of one-time IT/standalone build, plus ongoing public-company overhead and TSA dis-synergies). The honest earnings anchor is the company’s own FY26 adjusted-EPS guide of $3.80–4.14, which already reflects the full debt load and standalone cost base — not the carve-out $3.30. Any valuation that applies a multiple to the trailing carve-out EPS is anchoring on a flattered number.

Cash flow. Operating cash flow is strong (~$1,273M FY25, ~1.8x reported net income — though note ROIC’s “FCF” figure does not subtract capex). Real free cash flow has historically been ~$0.8–1.0B because capex ran a capital-light 5–6% of sales ($285M/$200M/$231M in 2025/2024/2023 — below D&A). In FY26, capex is stepping up to ~9% of sales (~$475M) to build the Delaware and Taiwan capacity, which is why the FY26 adjusted-FCF guide is only $500–600M — a deliberate, demand-validated investment year, not a deterioration. Long-term capex guidance is ~6% of sales, implying FCF normalizes higher once the build completes. SBC is modest (~$20M, <0.5% of sales), so FCF is real and not SBC-flattered.

Balance sheet — the leverage and negative-tangible-equity reality. At Q1-26: cash ~$857M; total debt ~$4,023M (a $2.35B term loan at 5.698% due 2032, $1.0B of 5.75% secured notes due 2032, $750M of 6.25% unsecured notes due 2033, and an undrawn $1.25B revolver); net debt ~$3.17B = ~2.2x EBITDA. The covenant (first-lien net leverage ≤4.5x) is comfortable. Total equity is ~$7.2B (ex-minority), but it is almost entirely intangible: goodwill ~$7.5B plus other intangibles ~$1.1B (~$8.6B, pushed down via carve-out purchase accounting) exceed equity, so tangible common equity is negative (~−$1.4B). Negative tangible equity is common and not alarming for a carve-out of a high-return intangible-rich business — the assets that matter (process-of-record positions, know-how) aren’t on the balance sheet — but it does mean book-value metrics are meaningless and the company has no tangible-asset cushion; the equity value rests entirely on the durability of the earnings stream.

Returns on capital — a nuance that cuts in the company’s favor. Reported GAAP ROIC is only ~6.8% (FY25), which is below a reasonable WACC — but that figure is depressed by the ~$8.6B of carve-out intangibles in the invested-capital denominator. Stripping the purchase-accounting intangibles, the return on tangible operating capital is very high (ROIC.ai’s “return on capital” reads ~31%) — consistent with a premium specialty-materials franchise that needs relatively little tangible capital to generate ~$1.4B of EBITDA. The true economics are excellent; the GAAP ROIC understates them. This is the opposite of the typical roll-up problem (where goodwill hides value destruction) — here goodwill hides value creation.

Verdict: economics clearly improve with scale (rising margins, high incremental margins, very high tangible ROIC), and cash generation is real — but the carve-out financials flatter the optics (understated interest), the balance sheet has negative tangible equity and ~2.2x leverage, and the FY26 FCF is temporarily depressed by a capacity build. High-quality economics; read them off the standalone guide, not the carve-out GAAP.


7. Capital Allocation

The starting hand was dealt by DuPont, not by Qnity’s board. The most consequential capital-allocation event already happened at separation: Qnity raised ~$4.0B of debt and paid essentially all of the proceeds to DuPont as a ~$4.1–4.3B cash dividend (“net transfers to parent” of ~$4,229M). In other words, the new company began life levered ~2.2x specifically to fund a payment to its former parent — a standard spin mechanic, but it means shareholders own a business that starts with a real interest burden and negative tangible equity rather than a clean balance sheet. This is not management’s fault, but it is the shareholders’ reality.

The go-forward framework is sensible but unproven. Management has articulated a returns-focused capital-allocation priority stack: (1) reinvest organically in high-return, demand-validated capacity (the Delaware/Taiwan builds, capex stepping to ~9% then normalizing to ~6%); (2) a modest quarterly dividend (~$0.08/quarter, a token ~0.2% yield — symbolic, not material); (3) share repurchases (a $500M authorization, of which only ~$25M was used in Q1-26, explicitly to offset dilution). The reinvestment priority is correct for a business with high-return organic opportunities, and the discipline of investing behind process-of-record wins is genuinely value-additive. The buyback is immaterial so far and, at ~42x earnings, should be — repurchasing stock at this multiple would not create value, so confining it to dilution-offset is defensible.

No M&A track record yet — Qnity is seven months old. The tax-free spin imposes a two-year handcuff on large M&A and equity issuance (to preserve tax-free status), so the company is effectively constrained from transformational deals until late 2027. That is a near-term protection against value-destructive empire-building, but it also means we have no evidence of how this management allocates capital under its own discretion. That is an open question, not a settled positive.

Incentive alignment — the Marathon mis-incentive flag. This is the clearest governance weakness. The 2026 compensation plan ties the annual bonus to 40% organic sales growth / 40% adjusted EBITDA / 20% culture, and the long-term incentive to 60% PSU (relative TSR + 3-year adjusted EBITDA) / 40% RSU. There is no ROIC or return-on-capital metric anywhere in the plan. Management is paid to grow sales and EBITDA — i.e., to grow the size of the business — not to grow per-share value or earn above the cost of capital. This is the classic Marathon mis-incentive (rewarding asset growth rather than returns), and it is partly — but only partly — offset by the inclusion of 3-year relative TSR in the PSU, which does tie a slug of pay to shareholder outcomes. For a business whose entire investment merit rests on returns (the tangible ROIC is its best feature), the absence of any return-on-capital metric is a real, if common, flaw.

Management build-out and the CFO gap. CEO Jon Kemp (a DuPont Electronics veteran) earned ~$20.6M in 2025, inflated by one-time spin “Transformation Awards.” More concerning operationally: the CFO (Harbaugh) stepped down for health reasons in January 2026, and the company is running with an interim CFO (Mike Goss) and no permanent CFO, plus two open senior roles (Head of Semiconductor and another). A seven-month-old public company with a leadership team still being assembled is a genuine execution risk — the finance function and segment leadership are exactly where a newly-independent company most needs stability.

Insider behavior — low signal. With ~73 Form 4s and 17 Form 3s all post-spin, the insider tape is dominated by initial grants and RSU mechanics, not discretionary trades. Insiders collectively own only ~0.15% (Kemp ~189k shares), and there are no identified open-market purchases — but for a fresh carve-out that is the norm and carries little signal either way. There is no conviction-buying tell to lean on, and no alarming selling either.

Verdict: a sensible go-forward framework (reinvest behind wins, token dividend, dilution-offset-only buyback at a high multiple) inherited onto a deliberately levered, parent-funded balance sheet — but with no independent M&A or capital-allocation track record yet, a compensation plan that omits any return-on-capital metric (Marathon mis-incentive), and a leadership team still being built (no permanent CFO). Above-average instincts, unproven hands, one clear incentive flaw.


8. Changes and Headwinds — Last Two Years

The defining change: the spin itself (November 1, 2025). Qnity became an independent, NYSE-listed company, distributed to DuPont shareholders. This is the central event — it created the standalone capital structure (~$4B debt, ~$4.3B dividend to DuPont, negative tangible equity), the standalone cost base (incremental public-company and IT costs, TSA dis-synergies being worked off), and the standalone management team (still being completed). Everything about Qnity-as-an-investment dates from this event; there is no pre-spin standalone history to lean on.

Operational developments (positive). Eight consecutive quarters of profitable organic growth; a record Q1-2026 and a raised FY26 guide; an NVIDIA collaboration on materials R&D for next-gen AI/advanced packaging; inclusion in Apple’s American-manufacturing program; new capacity in Delaware (opened Mar-2026) and Taiwan (early 2027); a transformation plan targeting ~$100M of EBITDA run-rate benefit by end-2028; and a clear strategic narrative (“shrink to stack”) that aligns the portfolio to the AI build-out.

Headwinds and watch-items.

  • Leadership instability: CFO departure (Jan-2026), interim CFO, two open segment-head roles — the team is mid-construction.
  • The carve-out/standalone earnings step-down: as full-year standalone interest and costs annualize, GAAP EPS will look lower than the flattered carve-out figures (a presentational headwind that the sell-side and the FY26 guide already incorporate, but retail screens may not).
  • PFAS/environmental tail (see §9): the 44% indemnity for DuPont legacy liabilities is an open-ended overhang.
  • Cyclicality/AI-capex dependence: the entire favorable narrative rests on the AI/advanced-packaging wave continuing; memory pricing volatility and a potential AI-capex digestion are the macro swing factors. Management explicitly flagged Korean labor unrest at memory/foundry customers and Middle East geopolitics as monitored risks.
  • Valuation: the multiple has expanded faster than the fundamentals, leaving no cushion.

Verdict: the changes of the last two years are dominated by the spin, which created both the opportunity (a focused, high-quality pure-play) and the risks (levered balance sheet, standalone cost step-up, incomplete leadership, PFAS tail). Operationally the trajectory strengthens the thesis; structurally and on valuation, the new realities temper it.

Catastrophic-loss / total-loss assessment: Low. Qnity is profitable, cash-generative, investment-grade-like in coverage (EBITDA ~$1.4–1.6B vs ~$230M interest = ~6–7x coverage), and sells into structurally growing end-markets with a real moat. The realistic bad case is a valuation de-rating plus a cyclical earnings dip, not insolvency. The one genuinely open-ended tail is the PFAS indemnity, but recorded balances are modest (~$260M) relative to the company’s value, and total loss would require a catastrophic, multi-billion PFAS escalation that is not the base case. Not a candidate for permanent capital impairment; very much a candidate for a painful drawdown from a rich multiple.


10. Valuation Discussion (Embedded Expectations)

The multiples (at $168.98, 2026-06-18). Equity market cap ~$35.4B (209.5M shares); enterprise value ~$38.8B (net debt ~$3.17B + minority ~$0.28B). Against FY2025 actuals: ~8.2x EV/sales, ~28x EV/EBITDA (reported), ~51x trailing GAAP P/E (on the flattered carve-out EPS). Against the FY2026 guide midpoints (sales ~$5.30B, adj. op EBITDA ~$1.58B, adj. EPS ~$3.97, adj. FCF ~$550M): ~7.3x forward sales, ~24.6x forward adjusted EBITDA, ~42.6x forward adjusted EPS, and a ~1.5% adjusted-FCF yield (the FCF yield depressed by the ~9%-of-sales capacity build; on normalized ~6% capex, FCF yield would be ~2.5–3%). Net debt/EBITDA ~2.0x forward.

Own-history percentiles — explicitly unreliable here. AZI’s valuation index reads composite/PE/PB/PS percentiles all in the 96th–97th range, but those are computed on only ~7 months of trading history (n=3 components) and are not a meaningful multi-year own-history rank. I flag them only to dismiss them: there is no own-history valuation context for a stock this young. The valuation anchor must be peers.

Peer comparison. The closest pure-play peer, Entegris, trades at ~9.6x EV/sales and ~35x adjusted EBITDA at its all-time high (~97.5th percentile of its own decade of history) — so on EV/EBITDA, Qnity at ~24.6x is meaningfully cheaper than Entegris at ~35x, which is the strongest point in the bull’s favor. But that comparison cuts both ways: Entegris is also widely regarded (in the peer report) as richly valued with no margin of safety, and Qnity carries offsetting negatives (PFAS tail, 2.2x leverage with negative tangible equity, no permanent CFO, no standalone track record). Broader specialty-materials peers — Element Solutions (~14–16x EBITDA), Resonac, Shin-Etsu, JSR (taken private at ~$6.4B) — sit lower, reflecting either slower growth or weaker mix. Qnity’s ~24–25x forward EBITDA is a premium to the broad group and a discount to Entegris — i.e., priced as a high-quality, high-growth name, with the AI-content premium largely in.

Embedded-expectations / reverse read. A ~$38.8B EV on ~$1.58B of FY26 adjusted EBITDA (~24.6x) underwrites, at minimum: (i) the AI/advanced-packaging content tailwind continuing for years (double-digit EBITDA growth sustained), (ii) ICS margins continuing to climb toward the high-20s/30%, (iii) the transformation plan delivering its ~$100M, (iv) no cyclical air-pocket in memory/AI-capex, and (v) the rich multiple holding. To grow into even a 30x P/E (still a premium) within three years, adjusted EPS would need to compound to ~$5.60+ (a ~+40% cumulative from the FY26 ~$3.97 midpoint, i.e., ~12% CAGR) and the multiple would need to de-rate only modestly — a combination that requires the AI ramp to run essentially without interruption. The market is pricing a flawless, uninterrupted content-growth decade.

What the market is pricing correctly vs. possibly incorrectly. Correctly: the genuine quality of the moat, the favorable end-market mix shift to AI, the strong near-term momentum, the high tangible ROIC, the low probability of permanent impairment. Possibly incorrectly (under-priced risks): the standalone earnings step-down vs. the flattered carve-out optics; the PFAS tail; the cyclicality/AI-capex dependence (no drawdown in the stock’s lived history means the cycle risk is untested in the price); and the simple absence of any valuation cushion if AI sentiment cools. Possibly under-appreciated upside: if the advanced-packaging/AI-PCB content thesis is even bigger than guided (management hinted the TAM keeps expanding), and ICS margins keep surprising, the EBITDA base could be materially higher than the FY26 guide implies — the bull’s free option.

Scenario analysis (illustrative, 3-year horizon; no price target):

  • Bear (~30%): an AI-capex/memory air-pocket or PFAS escalation hits while the multiple is at a record; FY-out adjusted EBITDA stalls near ~$1.5–1.7B and the multiple de-rates toward ~15–18x EBITDA → meaningful downside (a quality name falling from ~25x EBITDA has a long way to travel; the 2023 cycle showed ~15% revenue drawdowns).
  • Base (~45%): the AI/content tailwind continues but the multiple is full; adjusted EBITDA compounds to ~$1.9–2.2B over three years (low-double-digit), the multiple drifts modestly lower (~20–22x), and total return roughly tracks EBITDA growth minus modest de-rating — flattish-to-moderate, with no margin of safety.
  • Bull (~25%): the advanced-packaging/AI content wave runs hard, ICS margins keep climbing, the transformation delivers, and the market keeps awarding a premium to a flight-to-quality AI-supply-chain name; adjusted EBITDA reaches ~$2.3B+ and the multiple holds ~24–26x → compounds with earnings, modestly ahead.

No price target. No buy/sell. The embedded expectations are demanding; the business may well deliver them, but the entry price leaves the return dominated by multiple and cycle risk rather than by the (settled, favorable) business quality.


11. Variant Perception

Consensus view. The Street sees Qnity as a high-quality, AI-and-advanced-packaging-levered electronic-materials pure-play — “old DuPont’s crown jewel, finally on its own” — with a real moat, accelerating organic growth, expanding margins, and a long runway from node migration and the “shrink-to-stack” transition. Consensus is bullish, the stock has positive momentum and a high Quality factor loading, and the sell-side is leaning into the NVIDIA/Apple validation and the raised guide. The bull case is, in short, the consensus.

Strongest bull case. A genuinely advantaged consumables franchise sitting in the highest-growth lane of the most important secular technology trend of the decade (AI compute), with content-per-wafer and content-per-package both inflecting up at once, margins expanding, capacity coming online to capture it, and a management team investing only behind validated wins. If AI compute compounds for another five-plus years, Qnity’s EBITDA could be far above the FY26 base, and even today’s multiple would look reasonable in hindsight. On EV/EBITDA it is cheaper than its closest peer (Entegris).

Strongest bear case. A seven-month-old, levered, negative-tangible-equity carve-out with no permanent CFO, an uncapped 44% PFAS indemnity it doesn’t control, and a customer base concentrated in a handful of Asian chipmakers (33% China) — trading at ~42x forward earnings and ~25x EBITDA with a ~1.5% FCF yield, at an all-time high, with no cyclical drawdown anywhere in its lived price history. The reported EPS is flattered by carve-out interest accounting; the FCF yield is thin; the comp plan pays for size, not returns; and the entire thesis is levered to an AI-capex wave that is, on a Marathon supply-side read, the textbook late-cycle setup. The market is paying a record price for a flawless outcome in a cyclical business it has never seen go down.

The 3–5 assumptions that matter most:

  1. AI/advanced-packaging demand durability — does the content wave run for years, or air-pocket? (The swing factor for both EBITDA and the multiple.)
  2. ICS margin trajectory — does the ~25% → high-20s/30% expansion continue, or was it volume/mix-flattered?
  3. Standalone earnings power — is the honest base the FY26 guide (~$3.97) or something the carve-out optics are still hiding lower?
  4. PFAS/environmental tail — does the 44% indemnity stay modest (~$260M recorded) or escalate?
  5. Multiple durability — does a high-quality AI name hold ~24–25x EBITDA, or revert toward the broad-materials ~15–18x?

What would falsify each side. Falsify the bull: a memory/AI-capex air-pocket that stalls organic growth and compresses ICS margins; or a PFAS escalation; or a multiple de-rate toward the broad-materials range. Falsify the bear: two-to-three more quarters of double-digit organic growth with ICS margins still climbing and the transformation delivering, demonstrating the content thesis is structural and the standalone earnings power is real and growing.

Factor-positioning read (subordinate to the thesis). The factor model (noisy on 7 months of data, R² 0.48) reads Qnity as high Quality (+0.74) + positive Momentum (+0.45), beta ~0.86, high idiosyncratic vol (~41%) — i.e., a crowded, high-quality, positive-momentum name, not a falling knife and not a value setup. The spurious country/industry loadings (Greece, Mining, Gold Miners) and the semi-cap “related stocks” (Teradyne, Advantest, FormFactor) are short-history artifacts to be disregarded; the meaningful read is that consensus and positioning are aligned and full, which is exactly the configuration most vulnerable to a de-rating on any disappointment. This corroborates the variant-perception conclusion: the risk is not that the bull thesis is wrong, but that it is fully priced.

Verdict: the consensus (high-quality AI-materials compounder) is largely correct on the business and the variant perception is on the price and the tail — the market has accurately identified a genuinely good franchise and then paid a record, cushion-free multiple for a flawless, untested-through-cycle outcome, while under-weighting the carve-out earnings step-down, the PFAS tail, and the cyclicality embedded in an AI-capex wave.

  2. How large is the PFAS/environmental tail, really? The 44% indemnity is uncapped and DuPont controls the defense; recorded balances are ~$260M, but the MOU runs to 2040 and the ceiling is unknown. What scenarios would move it materially?

14. What Must Be True

For the bull case to be right (and the current price justified):

  • The AI/advanced-packaging content wave must run for years without a meaningful air-pocket, sustaining double-digit organic growth and driving content-per-wafer and content-per-package higher.
  • ICS margins must continue expanding (toward the high-20s/30%) and prove structural, not just cyclical operating leverage.
  • The transformation plan (~$100M EBITDA by 2028) must deliver, and the standalone cost base must normalize without surprises.
  • The PFAS tail must stay contained, and the multiple must hold near ~24–25x EBITDA.
  • Falsification test: Two consecutive quarters of decelerating organic growth (toward low-single-digits) with ICS margins flat-to-down would break the structural-content thesis — and at a record multiple, that is when the de-rating bites.

For the bear case to be right:

  • An AI-capex/memory air-pocket, or a PFAS escalation, or simply a sentiment shift, must trigger a multiple de-rating from ~24–25x toward the broad-materials ~15–18x, while standalone earnings prove lower or more cyclical than the flattered optics suggest.
  • Falsification test: Two-to-three more quarters of double-digit organic growth with ICS margins still climbing, the transformation delivering, and a permanent CFO installed would demonstrate the content thesis is structural and the standalone earnings power real and growing — defusing the “fully-priced-for-perfection” bear and justifying the premium.

The pivot. The thesis turns on a single observable over the next 12–24 months: does Qnity’s AI-content growth and ICS margin expansion continue uninterrupted (the premium multiple is an entry into a real compounder), or does the AI-capex cycle digest / the standalone earnings disappoint first (a record price on a cyclical business at a cycle-flattered moment)? Everything else — the moat, the tangible-ROIC economics, the end-market mix — is settled and favorable. The open questions are price, cycle timing, and the PFAS tail.

What thoughtful questions have other investors asked about this company? The dominant questions on the Q1-2026 call: (1) the durability and trajectory of the AI/advanced-packaging content wave into 2H-2026 and 2027; (2) whether ICS’s record margins are sustainable; (3) the AI-PCB opportunity size and depth of customer engagement; (4) capacity/supply constraints; (5) China/memory exposure; and (6) the scope/longevity of the NVIDIA and Apple agreements and what they mean for TSMC qualification. The unspoken investor question is whether a 7-month-old, levered carve-out at ~42x forward earnings can grow into its multiple — and how to value a business with no standalone track record and a flattering carve-out income statement.

Cyclicality & Earnings Nature

Are earnings at a cyclical high or low? Interpretation: Mid-to-high cycle, AI-flattered. Revenue has just recovered to its 2022 peak after a 2023 trough (~15% drawdown), and the current acceleration is driven by the AI/advanced-packaging wave — the most cyclical and arguably most over-built part of demand. Not a clean cyclical high, but not a trough; the AI lift means a digestion is a real risk.

Driven by the external environment or internal actions? Both — externally by the AI/node-migration demand wave (the larger driver); internally by process-of-record wins, mix shift to high-value lines, and margin/transformation self-help.

How stable are revenues? Moderately cyclical but more stable than equipment peers because revenue is consumed with production (per wafer/panel), not tied to lumpy capex. The 2023 downturn cut revenue ~15% — the relevant stress reference.

Outlook for products/services? Strong: node migration (2nm, angstrom era) and “shrink-to-stack” advanced packaging both lift content per wafer/package; data center approaching ~20% of mix and rising.

How big will this market be — growing, shrinking, domestic or international? Growing (electronic materials levered to semis + AI). Overwhelmingly international: ~79% Asia-Pacific, ~33% China; “local-for-local” manufacturing strategy.

Business Quality & Competitive Moat

Is the industry getting more or less competitive? Stable-to-favorable for qualified incumbents — concentrated, high-margin niches with qualification barriers; the long-run threat is Chinese domestic materials suppliers moving up-node.

How profitable is the business (ROIC, ROE)? Excellent on a tangible basis — return on tangible operating capital ~31% (ROIC.ai “return on capital”). GAAP ROIC ~6.8% is depressed by ~$8.6B of carve-out intangibles in the denominator (the reverse of the usual roll-up problem — goodwill here hides value creation). 46% gross margin, ~30% adj. EBITDA margin, ~36% in the Semi segment.

How profitable is the industry — competitors, barriers to entry? Highly profitable for entrenched players (40%+ gross margins); few credible competitors per niche (Entegris, Merck KGaA, Resonac, Element Solutions, MKS); barriers = multi-quarter qualification, yield-risk switching costs, know-how.

Can the business be easily understood? Reasonably — it sells consumable materials qualified into chip/board manufacturing. The carve-out accounting and segment economics require care.

Can it be undermined by foreign low-cost labor? No — this is materials science/process-IP, not labor-cost-driven; the risk is foreign (Chinese) technical catch-up, not labor arbitrage.

Do brands matter? Product brands (Kalrez, Kapton, Riston, Circuposit) carry reputational weight in qualification, but the moat is the qualification lock-in, not consumer brand.

Nature of competition / switching costs? Competition is on technical performance, qualification, reliability and local supply. Switching costs are high (re-qualification + yield risk), concentrated in the Semi franchise.

Financial Condition & Balance Sheet

Assets not fully recognized on the balance sheet? Yes — the real assets (process-of-record positions, know-how, customer relationships) are intangible and largely unrecognized; conversely, ~$8.6B of recognized goodwill/intangibles from carve-out purchase accounting overstates capital employed.

Off-balance-sheet liabilities? The PFAS/environmental indemnity is the key one — an uncapped 44% share of DuPont legacy liabilities; only ~$260M is recorded, but the exposure is open-ended (MOU to 2040; DuPont controls defense).

How conservative is the accounting? Mixed — adjusted (non-GAAP) metrics are emphasized; the carve-out income statement understates go-forward interest (only 2 months in FY25). SBC is modest (~$20M). Read the standalone guide, not trailing carve-out GAAP.

How CapEx-hungry? Historically capital-light (5–6% of sales, below D&A), stepping up to ~9% in FY26 for the Delaware/Taiwan capacity build, then normalizing to ~6%.

Capital Allocation & Management

How much FCF, and how is it used? Historical real FCF ~$0.8–1.0B; FY26 adj-FCF guided $500–600M (depressed by the capacity build). Priority: reinvest organically (high-return, demand-validated capacity) → token dividend (~$0.08/qtr, ~0.2% yield) → dilution-offset buyback ($500M authorization, ~$25M used).

Significant acquisitions recently? None as a standalone (7 months old); a 2-year tax-free-spin handcuff limits M&A to ~late-2027.

Buying back shares? Minimally — only to offset dilution; correct at ~42x earnings.

Issuing large amounts of new shares to insiders? No — SBC modest (~$20M); insiders own ~0.15%.

Compensation policy / incentive metrics? Fact: annual bonus = 40% organic sales / 40% adj EBITDA / 20% culture; LTI = 60% PSU (relative TSR + 3-yr adj EBITDA) / 40% RSU. No ROIC/return-on-capital metric — a Marathon mis-incentive (pays for size, partly offset by relative TSR). CEO Kemp 2025 comp ~$20.6M (spin-inflated).

Motivations of management? Veteran DuPont-Electronics team executing a credible operating plan; alignment is moderate (some TSR exposure, but size-oriented bonus and only ~0.15% ownership). No permanent CFO — a real gap.

Valuation & Market Data

ADR / MLP / K-1 issuer? No — US C-corp, single share class, 1099 (not K-1), NYSE-listed.

Dividend policy? Token quarterly dividend (~$0.08/qtr, ~0.2% yield) — symbolic, not an income story.

How profitable is the business? Very, on tangible capital (~31% return on capital; 46% GM; ~30% EBITDA margin). GAAP ROIC understated by carve-out intangibles.

Is net income diverging from cash from operations? OCF (~$1,273M FY25) exceeds reported NI (~1.8x) — healthy, though ROIC’s “FCF” figure omits capex. Real FCF after capex is the figure to track, depressed near-term by the build.

Risks & Downside

What would cause the stock to decline? A valuation de-rating (highest-likelihood/high-impact: ~42x fwd EPS, no cushion); an AI-capex/memory air-pocket; a PFAS escalation; a major-customer loss/dual-sourcing; export-control tightening; a leadership/execution stumble (no permanent CFO).

Risk of catastrophic loss? Low — profitable, cash-generative, ~6–7x interest coverage, real moat, growing end-markets. The realistic bad case is a drawdown from a rich multiple plus a cyclical earnings dip, not insolvency.

Chance of total loss? Very low — would require a catastrophic, multi-billion PFAS escalation far beyond recorded balances; not the base case.

Recent News & Events

Has the business environment changed recently? Yes, favorably near-term: record Q1-2026, raised FY26 guide, NVIDIA materials collaboration, Apple American-manufacturing inclusion, new Delaware (Mar-2026) and Taiwan (early-2027) capacity. The dominant structural change is the spin itself (Nov-2025) and everything it created (capital structure, standalone costs, leadership build-out, PFAS indemnity).

Significant acquisitions? None (handcuffed to ~late-2027).

Change in accounting policies? Transition from carve-out/combined to standalone reporting — the central quality-of-earnings caveat.

Recent changes — new markets, facilities, management? New facilities (DE, Taiwan); CFO departure (Jan-2026) → interim CFO; two open senior roles; transformation plan underway; TSA/IT separation in progress.
