Hubbell is a genuinely improved company. Over five years it shifted its center of gravity to the higher-margin, more defensible Utility franchise (pruning residential lighting, buying Aclara, Systems Control and DMC Power), lifted operating margin from 13.2% to 20.7%, and pushed ROIC from ~10% to ~16.7% — well above its ~9% cost of capital, through a $3B+ acquisition program. That is real value creation, and it sits on a real secular tailwind: grid modernization, aging-grid replacement, electrification, and data-center power demand. The backlog (+13.8% YoY) is the credible forward signal. None of this is fake.
But three things keep me at HOLD, not BUY. First, the price. At ~$536 the stock trades at ~32× trailing GAAP EPS, ~27× forward adjusted EPS, ~21.5× EV/EBITDA, and ~5.2× sales — its richest-ever valuation on every metric (98th–99th own-history percentile per the AZI valuation index). The market is paying a premium-compounder multiple for a 16.7%-ROIC, ~21%-margin business that is structurally a tier below Eaton (≈30% segment margins) yet is priced alongside it. Second, the margin is partly borrowed from the cycle. Management itself cut FY26 margin-expansion guidance from ~50bps to ~20bps and conceded the price-ahead-of-cost spread that flattered 2024–25 “can’t continue to hold the line” — and 2025 Utility “growth” was +1.1% organic, all price, with unit volumes down. Strip the cyclical price/cost cushion and the through-cycle operating margin is more like high-teens. Third, there is no returns-on-capital governor in the pay plan (PSUs reward sales growth, op-margin and relative TSR — no ROIC/ROCE hurdle) at a serial acquirer that openly says deal multiples are rising and is paying up at the top, while insiders are net sellers (CEO sold ~$21M discretionarily, not 10b5-1) into the 98th-percentile valuation. The framing, grounded in the tape and factor read, is a crowded infrastructure/momentum trade (beta 1.22, positive Momentum and Infrastructure loadings, negative Low-Vol, ~zero Quality, no Value) — not a falling knife and not a value name.
What flips me bullish: durable evidence that the through-cycle operating margin floor is genuinely high-teens-plus with volume (Aclara/AMI re-accelerating, data center sustaining >25%) — i.e., the re-rating is earned by compounding, not by a price spread that reverses. What flips me bearish: the price/cost spread inverts and the Utility destock resumes, margins mean-revert toward high-teens, and a 32× multiple de-rates on a cyclical-industrial — the classic late-capital-cycle outcome.

(2) The second half of 2022 marked the inflection: the market began to price the grid-capex super-cycle (IIJA, electrification) and recognized Hubbell’s pricing power in transmission & distribution components. (3) 2023’s leg was reshaping-driven — the $1.1B Systems Control deal pushed the portfolio decisively toward grid automation and away from lighting. (4) 2024 added the data-center overlay as Electrical Solutions’ hyperscaler exposure (Burndy connectors, modular power skids) inflected and operating margin crossed 20%. 1. Executive Summary
Hubbell Incorporated is a US-centric ($93% of sales domestic) manufacturer of electrical and utility infrastructure products, organized in two segments: Utility Solutions (~63% of 2025 revenue) — transmission & distribution components, smart meters/AMI (Aclara), and substation automation (Systems Control) — and Electrical Solutions (~37%) — wiring devices, connectors/grounding, industrial controls, harsh-and-hazardous, and a fast-growing data-center business. FY2025 revenue was $5.84B (+3.8%), with GAAP operating margin of 20.7% and adjusted operating margin of ~22.7%.
The investment story is a quality-and-mix transformation riding a real secular tailwind. Since 2020, Hubbell has (a) divested low-margin residential lighting, (b) acquired its way into higher-margin grid automation, and © realized substantial post-COVID pricing. The result: revenue up ~59% (2020→2025), gross margin up ~580bps to 35.3%, operating margin up ~750bps to 20.7%, EPS up from $6.44 to $16.58, ROE to 22.4% and ROIC to 16.7% — comfortably above a ~9% WACC. The bear case is not that this is a bad business — it is a good one — but that the price and the margin both embed a cresting cycle. The stock trades at ~32× trailing GAAP EPS, ~27× forward adjusted EPS, ~21.5× EV/EBITDA and ~5.2× sales, the richest valuation in its history (98th–99th own-history percentile). The moat is real but narrow — demand-side captivity plus scale concentrated in Utility T&D — and a tier below Eaton’s, yet the multiple is in Eaton’s zone. Management has signaled the price/cost spread that drove recent margin gains is fading (FY26 margin guidance cut to ~20bps of expansion), and 2025 Utility organic growth was entirely price with falling volumes. Capital allocation has been good (ROIC rose through the deal program) but rests on self-discipline: there is no returns-on-capital metric in executive comp, deal multiples are rising, and insiders are net sellers into the high. Tangible common equity is negative (goodwill + intangibles of $4.46B exceed equity of $3.86B), a reminder the franchise has been substantially bought.

2. Business Overview
Hubbell Incorporated, founded in 1888 and headquartered in Shelton, Connecticut, designs and manufactures a broad catalog of electrical and utility infrastructure products. FY2025 revenue was $5,844.6M, up 3.8% from $5,628.5M; ~93% of sales are in the United States. The company reports in two segments.
Utility Solutions — $3,672M (≈63% of revenue), GAAP operating margin ~21.5%, adjusted ~24.1%, gross margin ~34.7%. This is the larger, higher-margin, and more defensible franchise. It comprises two businesses:
- Grid Infrastructure (~75% of the segment): the legacy T&D components catalog — arresters, insulators, connectors, bushings, enclosures, cutouts, switches, and high-voltage products sold to electric utilities. These are mission-critical but individually low-cost items, specified into utility standards and approved-vendor lists. Brand names include Chance, Ohio Brass, PCORE, and Hubbell Power Systems. Grid Infrastructure grew ~12% organically in Q1-2026, the engine of the segment.
- Grid Automation / “The Edge” (~25% of the segment): smart meters and advanced metering infrastructure (Aclara, acquired 2018), plus substation automation, protection & control, and relay panels (Systems Control, acquired Dec-2023). This is the more cyclical, project- and utility-budget-sensitive piece, and the source of the 2024–2025 destock that weighed on the segment.
Electrical Solutions — $2,172M (≈37% of revenue), GAAP operating margin ~19.3%, adjusted ~20.2%, gross margin ~36.3%. A more fragmented, more competitive collection of electrical products: wiring devices, connectors and grounding (Burndy), industrial controls, harsh-and-hazardous (oil & gas, mining, marine), and datacomm. Business model and revenue character. Hubbell sells primarily through electrical distributors (~two-thirds of revenue) with the balance direct to utilities and large industrials. There is no single-customer concentration. Verdict. A focused, US-leveraged electrical and grid-infrastructure manufacturer with a clearly higher-quality Utility core and a more commoditized Electrical periphery that nonetheless holds the data-center growth optionality. The portfolio has been deliberately and successfully tilted toward the better business.
3. Industry Dynamics
The electrical and grid-equipment industry is, structurally, one of the more attractive corners of the industrial economy right now — and Hubbell’s Utility niche is the better part of it.
Demand drivers are real and multi-year, not a single fad. Four reinforcing forces underpin the cycle: (1) grid modernization and aging-grid replacement — the US transmission and distribution grid is decades old and under-invested, with utilities raising capital plans for hardening, reliability, and storm resilience; (2) electrification — EVs, heat pumps, and industrial electrification raise baseload demand and require distribution upgrades; (3) data-center power — hyperscaler and AI-driven load growth is the first material upward inflection in US electricity demand in two decades, pulling through both grid (transmission interconnection) and behind-the-meter electrical equipment; and (4) renewables interconnection and reshoring — new generation and new domestic manufacturing both require grid connection and electrical build-out. These themes are corroborated across the broader electrical-equipment peer group — Eaton, nVent, and Emerson all describe the same structural backdrop.
Industry structure favors incumbents. In utility T&D components, the buyer base (regulated electric utilities) is conservative, risk-averse, and standards-driven. Products are qualified into utility specifications over multi-year cycles; a failed component can cause an outage worth orders of magnitude more than the part. This produces high switching costs, long approved-vendor relationships, and low buyer price sensitivity on individually small items — a favorable structure that limits competitive intensity and supports pricing. Barriers to entry are meaningful (qualification cycles, breadth of catalog, distribution relationships, brand-as-reliability). The Electrical Solutions markets are structurally less attractive — more fragmented, more cyclical, and more exposed to commoditization — though data center is currently a high-growth pocket within it.
Capital-cycle caution (Marathon lens). The flip side of a great structural story is that capital is now flooding the broader electrical-equipment space. Eaton’s ~$9.55B Boyd acquisition at ~22.5× EBITDA, surging hyperscaler capex, and the re-rating of the entire complex are late-cycle signals: high returns are attracting capital, which historically mean-reverts returns. Hubbell’s core utility-T&D niche is more insulated than most — supply response is slow because qualification cycles are long and the buyer base resists new entrants — but the Grid Automation and data-center pieces face faster-moving competition and capital inflow. The structural tailwind is real; the synchronized super-cycle on top of it is what carries normalization risk.
Verdict: structurally good industry — among the best in industrials — with Hubbell’s utility-T&D core the most defensible part, but presently riding a hot, capital-attracting cycle whose late stage warrants margin- and multiple-normalization vigilance.
4. Competitive Position
The moat is real but narrow: demand-side captivity plus scale, concentrated in Utility — and a tier below Eaton’s. In Greenwald’s taxonomy, Hubbell’s strongest advantage is customer captivity in utility T&D: spec-in / approved-vendor-list lock-in, multi-year product qualification, and mission-critical-but-low-cost components that make buyers reluctant to switch and insensitive to price on individual items. This is reinforced by scale (catalog breadth, distribution density, manufacturing footprint) and brand-as-reliability (Chance, Ohio Brass, PCORE, Aclara, Burndy). These advantages surface in the financial outcome that matters: Utility Solutions earns mid-20s adjusted operating margins and the company sustains ROIC of ~16.7%, comfortably above its cost of capital — the test of a genuine moat.
But the moat must be sized honestly. Hubbell is good, not elite. Eaton earns roughly 30% segment operating margins and far higher returns on tangible capital; Hubbell’s 16.7% ROIC and ~21% consolidated operating margin sit a clear tier below. The Electrical Solutions franchise — wiring devices, connectors, industrial controls — competes against Eaton, nVent, Schneider Electric, Legrand, ABB, Atkore, and Panduit in markets that are more commoditized and where Hubbell’s differentiation is weaker. The data-center pocket is high-growth but increasingly contested as every electrical supplier pivots toward it.
Direct competitor map. In utility T&D, Hubbell competes with ABB (which absorbed Thomas & Betts and GE’s grid business), S&C Electric, and a long tail of specialists; in metering/AMI (Aclara), with Itron and Landis+Gyr; in substation automation (Systems Control), with ABB, Siemens, and SEL; in electrical products, with Eaton, nVent, Schneider, Legrand, Atkore, and Generac (adjacent). Hubbell wins where it is the entrenched, qualified, broad-line supplier to US utilities — its home turf. The central thesis question — is the 13.2%→20.7% operating-margin expansion structural or cyclical? The honest answer is both, and the split matters enormously to the multiple.
- Structural / durable (likely ~150–200bps of the gain): mix shift to higher-margin Utility (the segment rose from ~61% to ~63%+ of revenue, amplified by accretive M&A — Systems Control, DMC Power), the residential-lighting divestiture (removing low-margin sales), and genuine productivity.
- Cyclical / at-risk (the rest): a large post-COVID price-ahead-of-cost spread and grid-capex/data-center volume leverage. The 10-K’s own margin bridge attributes 2025 Utility margin to roughly +3ppts price/productivity less ~2ppts inflation/tariff, and Electrical to ~+6ppts less ~5ppts — i.e., margins rest substantially on pricing. Management explicitly cut FY26 operating-margin-expansion guidance from ~50bps to ~20bps, citing “about a point of dilution just from price/cost math,” and the CFO conceded last year’s price-positive posture “we don’t think we can continue to hold the line.”
The red flag is volume: 2025 Utility organic growth was only +1.1% — all price, with unit volumes down (weak AMI/meter activity). Margins built on price rather than volume are more fragile if the pricing environment normalizes. My estimate is that the through-cycle structural operating margin floor is high-teens (~18–19%), with the gap to the reported ~21% representing cyclical cushion.
Verdict: a durable-but-narrow moat (utility captivity + scale) supporting a good-not-elite business. The competitive advantage is genuine and shows up in above-WACC returns, but it is a tier below the best electrical compounders, and the recent margin expansion is a real structural mix-up wrapped inside a cyclical price/super-cycle high.
5. Growth History and Forward Opportunities
History (2020→2025): strong, but heavily price- and acquisition-assisted. Revenue grew from $3,682.5M to $5,844.6M, a ~59% increase (~9.7% CAGR). The composition matters: a meaningful share of that came from price (post-COVID inflation pass-through) and M&A (Systems Control added over $0.5B of annualized revenue; Aclara, DMC Power, Nicor, Ventev, and others contributed), with the residential-lighting divestiture a partial offset. Underlying unit-volume growth has been more modest, and in 2025 turned negative in parts of Utility. EPS growth was far steeper than revenue (diluted EPS $6.44→$16.58, +157%) because operating margin expanded ~750bps and the share count was roughly flat — i.e., growth quality is “margin- and price-led,” not “volume-led.”
Segment trajectory now.
- Utility Solutions: FY2026 organic guided to high-single-digit, with Q1-2026 +7% organic / +21% operating-profit growth. The driver is Grid Infrastructure +12% organic (broad T&D — transmission double-digit, plus substation and distribution). Management introduced a 765kV high-voltage TAM narrative (~$1.5B over ten years, ~1pt above transmission growth) — an incremental, unverified assumption worth tracking. The Aclara/AMI meter destock improved sequentially (−18% in Q3-2025, −8% in Q4, −7% in Q1-2026) and management declared it bottomed, guiding to slight YoY growth in Q2-2026 — but management has called the bottom before and been wrong, so the Q2-2026 print is a falsification test.
- Electrical Solutions: FY2026 organic guided +11–13%, led by data center (+40% Q1-2026; full-year outlook raised above 25%). Non-residential and heavy industrial are flat-to-soft. Electrical margin dipped 30bps in Q1 on restructuring.
Forward opportunities. (1) Continued grid-capex super-cycle (transmission build-out, hardening, electrification); (2) data-center power demand, where Hubbell is capacity-constrained on modular skids — a high-quality growth pocket; (3) AMI/meter recovery as the destock clears; (4) the 765kV high-voltage opportunity; (5) continued bolt-on M&A into adjacent grid/power categories. The risks to growth are the mirror images: AMI recovery stalling, data-center capex digestion, and price contribution fading as comparisons wrap.
Verdict: high-quality end markets but mixed-quality growth — strong structural demand, but reported growth has leaned on price and acquisitions, with underlying volume growth modest and currently soft in parts of Utility. The forward opportunity set is genuinely attractive; the question is how much volume (not price) materializes.
6. Financial Quality
Margins and returns have improved materially and are above-average — but not elite, and partly cyclical.

Returns. ROIC rose from ~10% to ~16.7% — the single most important fact in the bull case, because it shows the acquisition-and-mix program created value (returns are well above a ~9% WACC and rose through the deal program rather than being diluted by it). ROE of ~22% is genuinely strong but is flattered by leverage and by negative tangible equity; the cleaner read is the 16.7% ROIC. Incremental operating margin was a strong 53.5% in 2025 (and 74.9% in 2023), evidence of real operating leverage when volume and price cooperate.
Quality-of-earnings checks.
- Cash conversion is solid. Operating cash flow was $1,030M in 2025 (vs. $887M net income; cash-flow-to-net-income ~1.16×). Free cash flow (OCF less ~$190M capex) was roughly $840M; management guides FY26 FCF conversion to ≥90%. This is a real cash generator — no net-income/cash divergence red flag.
- Tangible capital is negative. Goodwill ($3.06B) plus intangibles ($1.39B) total $4.46B against total equity of $3.86B, so tangible common equity is negative (TCE ratio ~−16%). This is the signature of a business substantially bought rather than built; it is not alarming for a serial acquirer with strong cash flow, but it means book-based metrics (P/B 7.6×) and ROE overstate the underlying capital intensity of the franchise.
- Leverage is modest. Net debt was $1.84B at year-end 2025 (~1.3× EBITDA), up from $1.24B in 2024 as the company debt-funded DMC Power and other deals (a Term Loan plus Notes issuances in Nov-2025 and June-2026). This is a comfortable, investment-grade balance sheet with ample capacity — though deal debt added ~$37M of net interest.
- Some cyclical/one-time noise. FY2025 carried ~$16.9M of restructuring (up from $4.2M), 2024 had lighting-divestiture noise (a $5.3M loss on $131M of proceeds), and — most importantly — the ~22.7% adjusted operating margin is cyclically elevated by the price/cost spread. SBC is small (~$33M), so dilution is not a concern; the share count is roughly flat.
Verdict: high-quality financials — above-average margins, strong and rising above-WACC returns, clean cash conversion, modest leverage — with two honest asterisks: returns are good-not-elite (16.7% ROIC, a tier below Eaton), and the peak reported margin embeds a cyclical price cushion that is unlikely to persist in full. Economics do improve with scale, but the current level is at or near a cyclical high.
7. Capital Allocation
Above-average, evidenced by rising returns — but resting on self-discipline rather than structural governance.
M&A is the primary lever, and the record is good in aggregate. Hubbell is a serial acquirer: the now-retired CFO (Bill Sperry, 18 years) led roughly 50 of the company’s ~68 lifetime deals, and the program systematically tilted the mix toward higher-margin Utility/grid. The proof is in the returns — ROIC rose from 10.3% to 16.7% through a $3B+ deal program, which is the strongest rebuttal to the negative-tangible-equity worry. Key transactions: Aclara (2018, ~$1.1B, metering/AMI — a genuine value-destruction miss within the record, given the subsequent destock); Systems Control (Dec-2023, ~$1.1B, substation automation — strategically sound); Ventev (~$73M, Q1-2025); and Nicor + DMC Power (~$885M aggregate; DMC ~$829M, closed Oct-1-2025, ~$130M revenue at ~40% operating margin, +$0.20 EPS — roughly 6.4× sales, a high but high-quality asset). Management openly states deal multiples are rising, which means recent capital is being deployed at the cycle top.
The dividend is a model of consistency. Cash dividends grew every year, from $201M (2020) to $287M (2025), at a low-30s payout ratio, fully covered by free cash flow. Hubbell is a long-standing dividend grower — a reliable, conservatively-sized return of capital.
Buybacks are secondary and pro-cyclical. Repurchases were minimal for most of the period ($11M–$40M annually) but stepped up to $225M in 2025 and ~$168M in Q1-2026 — at or near the all-time-high stock price, against a new $500M authorization (Feb-2025). The share count is roughly flat: buybacks are an anti-dilution tool, not a shrink lever, and the recent acceleration is buying back stock at its richest-ever valuation.
The governance red flag: no returns-on-capital metric in executive compensation. The LTIP performance shares are weighted 34% relative sales growth / 33% adjusted operating-profit margin / 33% relative TSR; the annual bonus is adjusted EPS plus free cash flow plus segment operating profit/cash flow. There is no ROIC, ROCE, or EVA hurdle anywhere in the pay plan.
