Garrett Motion has completed a real transformation, but the equity has already been paid for much of it. The company is no longer the difficult-to-value post-bankruptcy security burdened by an 11% preferred claim. It is a profitable Tier-1 supplier with a simplified common-equity structure, no large funded-debt maturity before 2032, an undrawn $630 million revolver, a modest regular dividend, and a share count that has fallen by more than one-fifth since the end of 2023. Its mature turbo portfolio also is behaving better than the old terminal-decline narrative implied. Through the first half of 2026, sales rose 9.5% to $1.961 billion, gross profit increased 13.3% to $408 million, net income rose 31.5% to $196 million, and cash from operations less capital expenditure reached $197 million. Management subsequently raised full-year guidance to $3.7–$3.9 billion of sales, $560–$600 million of adjusted EBIT, $688–$728 million of adjusted EBITDA, and $385–$475 million of adjusted free cash flow. Those figures are reported results or formal company guidance, not analyst forecasts. [S3] [S4]

The investment dispute is now about valuation and transition proof. At $27.85 and the filed 186.8 million shares outstanding, equity value is approximately $5.20 billion. Adding $1.386 billion of debt principal and subtracting $158 million of cash produces enterprise value of approximately $6.43 billion before lease adjustment, or roughly $6.46 billion including estimated lease obligations. Against trailing GAAP EBITDA of approximately $639 million, the resulting multiple is about 10.1x. On the $708 million midpoint of 2026 adjusted EBITDA guidance, it is about 9.1x. A refreshed Company Financials comparison produces trailing EV/EBITDA of approximately 11.1x for BorgWarner, 8.9x for Aptiv, 7.6x for Magna, and 5.8x for Lear. Garrett therefore trades about 22% above the four-company median, not the draft’s 35% estimate. Some premium is justified by Garrett’s higher margins, low physical capex, cleaner organic strategy, and unusually strong cash conversion. The premium nevertheless leaves material downside if margins normalize or transition evidence disappoints. [S3] [S15] [S19]

One data-quality correction materially affects that calculation. A current external enterprise-value record valued Garrett using approximately 243 million issued shares, producing market capitalization near $6.77 billion and enterprise value above $8 billion. The June 10-Q reports 245.5 million shares issued but only 186.8 million outstanding because 58.7 million shares are treasury stock. Treasury stock is not part of market capitalization. This report therefore discards the provider-level enterprise value and rebuilds it from price, outstanding shares, cash, and debt. [S3] [S19]

The central operating thesis survives adversarial review: turbocharging is a declining aggregate-unit market with offsets from share, gasoline variable-nozzle content, hybrid and range-extender architectures, commercial vehicles, industrial engines, and aftermarket demand. Garrett’s design-in positions create engineering persistence, qualification value, and launch-risk avoidance. They are not contractual backlog. OEMs normally commit only through short-horizon releases, generally provide no minimum volume, and often retain convenience-termination rights. The moat is application engineering, calibration, validation, manufacturing consistency, and global launch execution—not take-or-pay revenue or unconstrained pricing power. [S1] [S5]

Industrial compression is the most credible transition leg. Management says industrial sales exceeded $100 million in 2025, surpassed $80 million in the first half of 2026, and should approach $200 million for 2026. Power-generation turbos, including data-center generating sets, are already contributing to reported commercial-vehicle/industrial growth. Yet audited product disclosure combines commercial vehicles and industrial sales; investors cannot independently reproduce industrial revenue, margin, invested capital, or cash return. Management’s Q1 description of low-double-digit industrial growth changed within one quarter to an approximately $200 million full-year view. The acceleration may be genuine, but the abrupt change increases—not decreases—the need for consistent disclosure. [S3] [S8] [S9]

Zero-emission technologies remain option value. The Investor Day evidence includes two E-Powertrain production awards, five OEMs testing B-samples, one automotive E-Cooling award, two E-Cooling B-sample tests, and expected launches beginning in 2027. That is materially better than a laboratory-only project. It still does not establish volume, pricing, contribution margin, warranty cost, customer-funded engineering, working-capital intensity, or product-level ROIC. Management’s roughly $1 billion 2030 zero-emission target and more than $500 million industrial target are projections, not backlog. [S5]

The strongest bull counter-case is that the market is recognizing a reusable high-speed compression platform rather than merely extending a legacy turbo multiple. Garrett can redeploy aerodynamics, rotor dynamics, foil bearings, motors, power electronics, controls, validation, and automotive-scale manufacturing into stationary power, HVAC, battery-energy-storage cooling, fuel-cell air supply, and industrial air compression. If industrial sales compound above 20%, 2027 launches meet performance and warranty objectives, and those products approach core contribution margins, the present multiple need not contract. The strongest bear case is a financing-bridge failure: passenger turbo cash erodes, new products require more R&D and launch capital than disclosed, margins dilute, and buybacks compete with debt reduction before the 2032 maturity concentration.

My base valuation is approximately $27–$31 per share, triangulating 9.0x–9.5x midpoint adjusted EBITDA with approximately 12x midpoint adjusted free cash flow. The downside range is approximately $18–$22 if earnings weaken and the multiple converges toward ordinary auto-supplier levels. The upside range is approximately $35–$40 if industrial and zero-emission launches validate the platform, net debt declines, and shares continue shrinking. The near-term decision sequence is Q3/Q4 constant-currency growth, the price/productivity/inflation bridge, RD&E spending, industrial commentary, unadjusted versus adjusted cash conversion, net debt, and actual diluted-share reduction. The call would improve if Garrett separately disclosed industrial and zero-emission revenue, contribution profit, capital requirements, and award conversion, or if the shares entered the low-$20s without thesis deterioration. It would deteriorate if adjusted EBIT margin fell below 13%, unadjusted annual free cash flow fell below $300 million without clearly productive reinvestment, leverage rose while shares stopped declining, or scheduled 2027 launches repeatedly slipped. Stock Price Action — Five-Year Event Map

Company Financials price history, cross-checked against public market data, shows a five-year intraday low of $5.57 on October 3, 2022, a high of $36.25 on June 30, 2026, and a September 11, 2026 close of $27.85. The trailing-52-week low was approximately $12.26 and the high $36.25, placing the current price roughly 65% of the way from low to high and about 23% below the peak. Prices are facts; the causal interpretations below are inferences tied to contemporaneous filings and releases. [S19]

  • 2021 emergence and initial recovery. Garrett emerged from Chapter 11 in April 2021, paid Honeywell $375 million under the restructuring, issued preferred securities, and ended 2021 at $8.03. Reduced insolvency risk plausibly drove the recovery, but preferred claims made conventional common-equity valuation misleading. The $495 million of 2021 net income did not represent ordinary owner earnings because cash from operations included the emergence payment and was negative $310 million. [S2]

  • 2022: operating cash returned, but the capital structure remained unresolved. The stock reached its five-year low in October and ended the year at $7.62. Garrett generated $375 million of CFO and spent $91 million on capex, but the Series A preferred claim remained expensive and common shareholders still sat beneath a structurally complex security. Higher interest rates, vehicle-production uncertainty, and the preferred overhang are plausible explanations for the muted equity response; price action alone cannot isolate them. [S2] [S19]

  • 2023: capital simplification exchanged preferred cost for leverage and common dilution. Garrett repurchased approximately $570 million of Series A preferred stock from Centerbridge- and Oaktree-affiliated funds, incurred $700 million of new debt, converted the remaining preferred shares into common stock, and settled accrued dividends partly with common shares. GTX closed at $25.61 after reporting first-quarter sales of $985 million, 6% constant-currency growth, 15.3% adjusted EBIT margin, and higher guidance. Management also described gasoline VNT, E-Powertrain, industrial, and battery-energy-storage awards.   • May–June 2026: Investor Day moved transition optionality into the multiple. On May 20 management introduced targets exceeding $5 billion of 2030 revenue, including approximately $1 billion from zero-emission technologies and more than $500 million from industrial applications, plus more than $2 billion of adjusted FCF over five years. The shares reached $36.25 on June 30. Those objectives are explicitly management projections and rely on adoption, launch, mix, and margin assumptions. [S5] [S19]

  • July–September 2026: guidance improved while the stock corrected. Garrett raised its outlook again after Q2, but the stock fell to $27.85. Profit-taking, multiple compression, changing macro expectations, or skepticism about transition economics are plausible explanations. Verdict: the five-year return is principally explained by survival, capital simplification, strong cash conversion, margin resilience, and share retirement. The first-half 2026 surge added a substantial transition premium; the later correction removed part, but not all, of that expectation.

Business Overview

Garrett designs and manufactures turbochargers, electric compressors, fuel-cell compressors, high-speed motors, power electronics, control systems, and related air-compression and thermal-management products. It sells primarily to vehicle and industrial OEMs and also operates a branded aftermarket distribution business. Garrett reports one operating segment. Audited revenue is available by product category and geography, but product-level gross profit, operating profit, assets, capex, and ROIC are not. Nearly all revenue is product revenue recognized when control transfers, generally at shipment or delivery. [S1]

The 2025 product mix remains dominated by combustion-linked products. Gasoline products generated $1.592 billion, or 45% of sales; light-vehicle diesel $837 million, or 23%; commercial-vehicle products $654 million, or 18%; aftermarket $438 million, or 12%; and other products $63 million, or 2%. The audited labels are important. Industrial revenue sits inside the commercial-vehicle category, while zero-emission revenue is not presented as a separate audited line. In H1 2026, gas contributed $859 million, diesel $467 million, combined commercial vehicle/industrial $369 million, aftermarket $233 million, and other $33 million. A growth investor therefore cannot simply lift management’s industrial figures into a segment model without acknowledging that they are unaudited management classifications. [S1] [S3]

The economic unit is an engineered customer program. Garrett usually works with an OEM during powertrain architecture, compressor matching, calibration, materials selection, emissions testing, validation, industrialization, and launch. Once the part is qualified and production begins, the program may last three to seven years. Mid-program replacement can require tooling changes, durability testing, emissions recertification, software recalibration, supplier-quality approval, logistics redesign, and a new production launch. Those costs create operational stickiness and make on-time execution economically valuable.

The legal revenue structure is weaker than the engineering relationship. Once business is awarded, OEM customers normally retain convenience-termination rights and generally do not commit to a minimum purchase volume. Firm demand arrives through purchase orders or releases tied to actual production schedules. Customers also negotiate annual price reductions and can delay or cancel vehicle programs. Revenue is moderately persistent across a diversified portfolio of designed-in programs, but it is neither subscription-like nor contractually guaranteed. Calling more than 80% of three-year OEM sales “contracted” overstates the legal protection unless it is immediately qualified as awarded program visibility. [S1] [S5]

Customer concentration gives OEMs substantial bargaining power. Garrett’s ten largest customers accounted for approximately 62% of 2025 sales. Stellantis represented 12%, BMW 11%, and Ford 11%, or 34% combined. The ten largest applications were spread across six OEMs, so model diversification is better than the top-customer percentages alone imply. Even so, large OEM purchasing organizations can compare suppliers globally, demand localization, impose productivity sharing, and move the next platform. Garrett’s economics depend on being difficult to replace within a current program and repeatedly attractive at the next sourcing round. [S1]

Aftermarket economics are different. Garrett estimates that its installed base covers approximately 150 million vehicles and that more than 370 distributors serve customers in about 165 countries. Replacement demand depends on vehicle age, miles driven, turbo failure rates, repair economics, distributor inventories, off-highway utilization, and counterfeit or alternative parts. The Garrett name, application catalog, authenticity, availability, and installer familiarity matter more here than in OEM production. At 12% of 2025 revenue, aftermarket is large enough to improve mix and reduce dependence on new-vehicle schedules but not large enough to offset a severe global production decline by itself. [S1]

Geographic exposure is international and concentrated in Europe. In 2025, Europe generated $1.745 billion, or 49% of sales; Asia $1.044 billion, or 29%, including $638 million from China; the United States $694 million, or 19%; and other regions $101 million, or 3%. Europe therefore matters more to Garrett than U.S. regulatory headlines suggest. China is simultaneously a source of commercial-vehicle, industrial, hybrid, and zero-emission growth and the market with the strongest local cost and technology competitors. Foreign-exchange translation can materially move reported revenue and equity, although local production and sourcing provide operating offsets. [S1]

The physical footprint includes 13 manufacturing sites, six R&D centers, and ten close-to-customer engineering sites. The facilities are spread across customer regions; nine manufacturing locations were owned and four leased at year-end 2025. The company states that most production and more than 80% of purchasing occur in best-cost locations. This makes the business less vulnerable to a simplistic “move production to a low-wage country” attack than a supplier concentrated in Western plants. It does not protect against a Chinese competitor with adequate technology, local OEM relationships, faster development, and structurally lower engineering cost. [S1] [S5]

Garrett’s balance sheet understates several economically valuable assets. RD&E is generally expensed as incurred and totaled $151 million in 2025, so internally developed compressor aerodynamics, rotor dynamics, materials expertise, high-speed motor design, foil bearings, power electronics, controls, manufacturing processes, application data, and customer qualifications do not appear as acquired intangible assets. The company holds approximately 1,350 patents and pending applications, but no individual patent or group is considered material. The relevant asset is the integrated knowledge and operating system, not a single exclusionary patent. Customer calibration history, global launch performance, and the aftermarket installed base are likewise absent from book equity. [S1]

The business is understandable through five variables: end-market production; turbo penetration and content per engine; Garrett’s sourcing and share performance; annual price/productivity/inflation balance; and the cash cost and eventual return of industrial and zero-emission development. The main analytical difficulty is not revenue recognition; it is the absence of separate economics for the transition portfolio and the effect of receivables programs on cash comparisons.

GTX is common stock of a Delaware corporation directly listed on Nasdaq. It is not an ADR, MLP, partnership, or K-1 issuer. Historical per-share comparisons before the 2023 preferred conversion are nonetheless misleading unless preferred dividends, deemed dividends, and conversion shares are incorporated. [S1] [S21]

Verdict: Garrett is an understandable engineered-component supplier with valuable application know-how, live-program switching costs, global production, and a meaningful aftermarket franchise. Its revenue has more persistence than spot manufacturing, but customer concentration and weak minimum-volume protection prevent it from being treated as recurring contractual revenue.

Industry Dynamics

The global turbocharger market is concentrated among Garrett, BorgWarner, IHI, Mitsubishi Heavy Industries, and several regional or captive suppliers. Product qualification, emissions performance, manufacturing consistency, and global support limit the number of credible suppliers, particularly for global vehicle platforms. The customer side is even more concentrated. Large OEMs source high volumes, compare qualified alternatives, require local capacity, and retain negotiating leverage. This structure can support attractive margins for technically strong incumbents without creating software-like pricing power. [S1] [S15] [S16] [S17]

Garrett estimates the current OEM turbo market at approximately $10 billion. Its Investor Day forecast expects more than 45 million turbocharged engines in 2030, below recent unit levels but sufficient—under management’s assumptions—for Garrett turbo revenue in 2035 to exceed 2025. That conclusion depends on content and mix: higher gasoline variable-nozzle penetration, hybrid boosting, electric compressors, commercial and industrial engines, share gains, and higher average selling prices must more than offset disappearing battery-electric applications. The market-size and market-share figures come from management-selected industry sources and should be treated as estimates, not audited facts. [S5]

Passenger-vehicle turbo demand follows a two-stage substitution curve. Efficiency and emissions pressure initially encourages smaller boosted engines, sophisticated gasoline VNT, hybridized powertrains, electric boosting, and range extenders. Those architectures can have more Garrett content than a simple naturally aspirated engine. A battery-electric vehicle ultimately removes the combustion turbo. The same policy can therefore increase content during a transition and shrink the terminal unit pool later.

Independent adoption evidence makes the terminal threat real. The IEA reported more than 20 million electric-car sales in 2025, representing approximately 25% of global new-car sales. Its definition includes battery-electric and plug-in hybrid vehicles; it does not map one-for-one to turbo deletion. Battery-electric vehicles represented about 65% of electric-car sales, however, implying that roughly one-sixth of global new cars were already battery electric. China reached close to 55% electric-car penetration, Europe 28%, and the United States just under 10%. Europe and China together account for most of Garrett’s revenue. [S12]

Regulation is geographically divergent. In February 2026, the U.S. EPA finalized rescission of the federal greenhouse-gas endangerment finding and related vehicle GHG standards. That weakens the U.S. regulatory impulse behind rapid battery-electric substitution and some advanced combustion content. The action did not remove criteria-pollutant rules, customer fuel-economy incentives, state policy, or global standards. In Europe, current law still targets 0 g CO2/km for new cars and vans from 2035, while a Commission proposal would soften the target to a 90% tailpipe reduction with compensating mechanisms. The proposal is not yet the governing final standard. Europe also adopted flexibility allowing 2025–2027 compliance to be averaged. [S13] [S14]

The draft’s characterization of Garrett’s 2025 regulatory language as stale is directionally fair but needs timing precision. The 2025 Form 10-K was filed on February 19, 2026, one week after the EPA action. Its generalized description of tightening regulation remained accurate for Europe and parts of Asia but insufficiently regionalized for the United States. The correct conclusion is not that global regulation reversed; it is that policy dispersion widened, making regional product mix more important.

Barriers to entry are substantial and cumulative. A credible supplier needs compressor and turbine aerodynamics, rotor dynamics at extreme speeds, high-temperature materials, bearing systems, power electronics, control software, validation laboratories, automotive quality systems, local customer engineers, tooling, reliable capacity, and the financial ability to absorb warranty or recall exposure. It must spend before production revenue and repeat the manufacturing process across regions. IHI’s production of more than 100 million automotive turbos and global facilities illustrates that relevant competitors possess deep scale rather than merely a good prototype. [S16]

Switching costs and barriers do not eliminate competition. OEMs can dual-source, change suppliers at the next platform generation, insource selected systems, or support local challengers. Chinese suppliers need not duplicate every Garrett capability to win a domestic program; adequate performance, faster iteration, local integration, and lower cost may suffice. Mature turbo markets can also become more competitive as units decline if suppliers preserve excess capacity and chase utilization. The alternative capital-cycle outcome is favorable: if competitors close capacity and stop investing, the remaining global incumbents can consolidate share and protect margins.

The capital cycle differs sharply between mature turbo and new adjacencies. Expected long-run passenger-turbo contraction discourages greenfield capacity. Industrial cooling, electric powertrains, fuel-cell compression, and data-center equipment attract capital because forecasts are large and growth is visible. Garrett can reuse existing technology and manufacturing, lowering its incremental investment, but competitors including diversified thermal, electrical, and industrial-compression suppliers have larger balance sheets and established channels. A high addressable market may therefore predict investment and margin pressure as readily as it predicts attractive growth.

Industry profitability is uneven. Garrett’s trailing GAAP EBITDA margin is approximately 17%, above the broad auto-supplier group. BorgWarner is the closest listed turbo competitor but operates a larger, more diversified portfolio and has absorbed restructuring and electrification-related charges. Aptiv, Magna, Lear, and Autoliv differ in labor content, customer exposure, product complexity, and capital structure. IHI and MHI disclose turbo activities inside diversified industrial groups. There is no clean listed pure-play margin benchmark. The most defensible conclusion is that Garrett currently occupies an attractive niche within a difficult supplier industry, not that all adjacent products will inherit turbo margins. Foreign low-cost production is both a threat and a defense. Garrett already sources and produces extensively in lower-cost regions, limiting the gain available from simple relocation. The more serious threat is a local competitor that combines lower engineering cost, domestic OEM access, policy familiarity, faster qualification, and acceptable reliability. Monitoring China win rates, realized price/mix, warranty performance, and regional margin is more useful than tracking wage rates alone. [S1]

The mature turbo unit market is structurally shrinking, but the profit pool can remain durable if content, hybridization, commercial and industrial demand, and share consolidation offset units. Competition is likely to intensify in zero-emission and industrial adjacencies because those pools attract capital before returns are proven. [S1] [S5] [S12]

Verdict: turbocharging is technically difficult, concentrated, and buyer-dominated. Garrett can earn above-peer margins through qualification and execution, but it does not control end-market volume or customer pricing. The transition creates both content opportunities and eventual substitution risk.

Competitive Position

Garrett calls itself the world’s largest turbo supplier and reports an average new-business win rate above 50% since 2018. The presentation identifies those measures as management estimates. They are not independently audited market-share statistics. More observable evidence nevertheless supports a strong position: more than 60 OEM relationships, 13 manufacturing plants, roughly 1,330 engineers, six R&D centers, ten customer engineering sites, approximately 1,350 patents and applications, and an aftermarket network reaching more than 370 distributors. BorgWarner’s filing also identifies Garrett as a material competitor. [S1] [S5] [S15]

The core customer value proposition is system efficiency and execution certainty. Garrett’s products can improve power density, fuel economy, emissions performance, transient response, packaging, noise, durability, and total system cost. In commercial and industrial engines, turbo selection affects output and fuel consumption over long duty cycles. In data-center backup generation, customers care about reliable power density and response when grid power fails. In E-Cooling and industrial air, the proposed value shifts toward energy efficiency, weight, footprint, maintenance, contamination risk, and noise.

The moat is design-in capability, not a consumer network effect. Garrett works alongside OEM engineers and must deliver a calibrated, validated product at automotive scale. A failure can stop an assembly line, delay certification, or create warranty and recall costs. An incumbent with repeated launch success reduces customer execution risk. The financial outcome expected from that moat is revenue outgrowth versus end-market production, neutral-to-positive price/productivity, stable warranty expense, and margins above broader suppliers. If those outcomes disappear over a full program cycle, the moat thesis should be downgraded.

Switching costs are time-dependent. They are highest after validation and production launch because changing the component may require engineering, software, tooling, certification, logistics, and supplier-quality work. They are weaker before the next program is awarded. OEMs can shift future platforms, split volumes, use competing suppliers, or insource. Customer switching costs are operationally high within a live program but economically moderate across platform generations. [S1]

This distinction reconciles two apparently contradictory facts: Garrett sustains high margins and long customer relationships, yet contracts often lack minimum volumes and customers continue to demand annual price reductions. The company owns a valuable position inside an awarded program; the OEM retains leverage over actual releases, life-of-program pricing, and the next sourcing decision.

Brand matters differently by channel. In OEM markets, Garrett’s name signifies engineering credibility, validation capability, quality systems, and global production. The vehicle buyer usually does not choose the turbo brand. In aftermarket, authenticity, distributor availability, application coverage, installer familiarity, and avoidance of counterfeit parts directly affect demand. Brand has economic relevance through engineering trust in OEM channels and authenticity in aftermarket, but it is not a consumer-luxury asset with independent pricing power. [S1]

Portfolio breadth improves competitive relevance. Garrett can combine mechanical turbos, electric compressors, motors, power electronics, sensors, and controls rather than sell an isolated commodity. It launched a fuel-cell compressor application in 2016 and a third-generation system in 2024. The same high-speed technology pillars support E-Powertrain, E-Cooling, and industrial compression. This technological adjacency is the strongest evidence that part of the moat can transfer beyond combustion.

Transfer is not automatic. HVAC and industrial-air customers use different channels, service models, procurement criteria, duty cycles, and competitive alternatives. Automotive production quality can be an advantage, but a supplier without an installed industrial service network may face a commercial disadvantage. Diversified competitors can bundle compressors, heat exchangers, controls, and service. OEMs may also prefer proven scroll or screw architectures when Garrett’s efficiency advantage does not outweigh qualification risk.

The strongest financial evidence for the mature moat is performance through a weak top-line cycle. Revenue in 2025 remained slightly below 2021, but gross margin increased from 19.5% to 20.4%, operating profit remained near 13%–14% of sales, and cash conversion was strong after adjusting for the one-time 2021 emergence payment. H1 2026 revenue grew substantially faster than reported light-vehicle production assumptions while adjusted EBIT margin reached 15.4%. A supplier without qualification value, cost competence, or successful launches would be more likely to lose share or sacrifice margin. Productivity, favorable mix, currency, and lower RD&E also helped, so the outcome cannot be attributed entirely to competitive advantage. [S1] [S3]

Disconfirming evidence remains material. Ten customers account for 62% of revenue; contracts lack guaranteed volumes; price-down pressure is normal; and product-level margin is not disclosed. Management’s statement that more than 80% of OEM sales are awarded three years forward is visibility evidence, not legal backlog. Nor does an above-50% win rate show how much is replacement business, content growth, competitor displacement, or lower-priced share. [S1] [S5]

Competition centers on technology, system efficiency, qualification, price, quality, launch support, localization, and global delivery. [S1] [S15] The position should be judged through share-of-demand growth, price/productivity, warranty performance, and new-product contribution—not patent counts or engagement counts in isolation.

Verdict: Garrett has a real but narrow competitive advantage in high-speed engineering, application integration, qualification, global execution, and aftermarket coverage. It supports program persistence and above-peer margins, but it neither neutralizes OEM bargaining power nor proves that newer markets will deliver the same returns.

Growth History and Forward Opportunities

Garrett’s historical growth record is modest. Sales were $3.633 billion in 2021, $3.603 billion in 2022, $3.886 billion in 2023, $3.475 billion in 2024, and $3.584 billion in 2025. The 2021–2025 compound rate was approximately negative 0.3%. This is not a conventional secular-growth record. It reflects supply normalization, diesel decline, inflation recovery, vehicle-production cycles, currency, product mix, and share gains. H1 2026 acceleration is important, but a six-month period should not erase the flat five-year base. [S1] [S2] [S3]

Core turbo can grow even if global units decline. More sophisticated gasoline VNT, two-stage systems, E-Turbo, E-Compressor, hybrid and range-extender configurations, commercial engines, off-highway equipment, marine applications, and large stationary-power turbos can raise content per application. Management expects more than half of 2030 turbo sales to come from light-commercial, commercial, industrial, and aftermarket uses and targets more than $2 billion in those categories. It separately expects more than $2 billion of passenger-vehicle turbo sales beyond 2030. Those are ambitious management objectives requiring share and mix to overcome unit pressure. [S5]

Industrial turbo is the nearest-term growth vector with observable revenue. Management said 2025 industrial sales exceeded $100 million, H1 2026 sales surpassed $80 million, and full-year 2026 sales should approach $200 million. Reported H1 commercial-vehicle/industrial revenue rose 14%, with the filing attributing growth partly to stationary power generation for data centers in China and North America. Garrett also disclosed its first MEG200 award for a data-center generating-set application. [S3] [S8]

The Q2 transcript supplied useful timing discipline. Management said a newly awarded large-engine program normally takes longer than one year to reach material production and that the individual MEG200 award would not significantly contribute to 2027 revenue. Industrial growth is instead the cumulative result of numerous prior awards. That answer weakens an overly promotional near-term data-center thesis while strengthening the credibility of the broader installed award pipeline. [S8]

Management targets industrial sales above $500 million in 2030 and above $850 million in 2035, implying growth above 20% annually. It estimates a roughly $9 billion 2035 addressable market spanning industrial and generating-set turbos, HVAC E-Cooling, and industrial air compression. The definitions exclude captive supply and focus on applications where high-speed technology is relevant, but they remain management estimates. Addressable revenue does not disclose expected share, price, service requirements, or industry returns. [S5]

Zero-emission mobility is earlier. Investor Day disclosed 20-plus E-Powertrain customer engagements, two production awards, and five OEMs testing B-samples. For automotive E-Cooling, management cited more than 25 engagements, 12 predevelopment contracts, one award, and two OEM B-sample tests. Garrett expects at least six product launches by 2027 and approximately $1 billion of zero-emission sales by 2030, rising above $2 billion by 2035. [S5]

Management also presented claimed product advantages. Its centrifugal E-Cooling architecture was described as providing twice the cooling power, 50% lower weight, up to 10% better efficiency, and 10 dB lower noise versus scroll technology. E-Powertrain materials describe weight, packaging, power, and torque advantages. These are management or customer-test claims, not independently verified fleet economics. The validation ladder is engagement, paid development, award, production launch, shipped volume, warranty performance, contribution profit, and cash return. Garrett has progressed beyond the first steps but has not reached the last three at meaningful disclosed scale. [S5]

The strategic logic is stronger than an unrelated diversification. Garrett is adapting compressor aerodynamics, high-speed rotating equipment, proprietary materials, foil bearings, motors, power electronics, controls, simulation tools, and automotive-scale production. Management estimates that technology reuse can reduce RD&E required for a new product. That can shorten development and improve returns. The commercial risk is that new customers value service networks, complete systems, or incumbent architecture more than Garrett’s component efficiency.

RD&E is both an investment and a measure of uncertainty. Garrett spent $151 million in 2025, and management said approximately half of RD&E supported electric compression and E-Powertrain. Because those costs are expensed, current earnings already bear much of the transition investment. Successful launches could therefore create operating leverage. Failed adoption would show that a material portion of historical expense produced little return. Q2 2026 gross-profit improvement included $4 million of lower RD&E expense, so investors should not assume every basis point of margin expansion represents permanent manufacturing productivity. Aftermarket growth remains less glamorous but potentially higher quality. It uses an existing installed base, distributor network, application data, and brand. It can compound through fleet aging, broader coverage, improved authenticity controls, and greater commercial/off-highway penetration. Risks include counterfeit supply, distributor inventory cycles, repair deferral, and lower-cost replacements.

The product outlook is favorable for advanced turbo, aftermarket, and currently shipping industrial applications; it is technically promising but economically unproven for large-scale E-Powertrain and E-Cooling. [S1] [S5]

Verdict: industrial growth deserves meaningful base-case credit because revenue is already visible, though not separately audited. The 2030 zero-emission objective remains probability-weighted option value until production revenue, margins, warranty outcomes, and capital requirements are disclosed.

Financial Quality

Garrett’s financial history divides into a restructuring period and a cleaner operating period. The table uses filed GAAP values; CFO less capex is an unadjusted cash-flow measure, not management’s adjusted FCF. Dollars are millions except per-share data. [S1] [S2]

The 2021 cash deficit included the $375 million Honeywell payment associated with emergence. It should not be treated as recurring operating consumption. From 2022 through 2025, cumulative CFO less capex was $1.324 billion versus cumulative net income of $1.243 billion, a 106.5% conversion ratio. Cash earnings therefore exceeded accounting earnings over the cleaner period. [S1] [S2]

Margins are strong for an auto supplier. Gross margin increased from 19.5% in 2021 to 20.4% in 2025. Operating profit remained approximately 13%–14% of revenue despite flat five-year sales. Management’s adjusted EBIT was $510 million in 2025, versus GAAP operating profit of $491 million, and adjusted EBITDA was $636 million versus GAAP EBITDA of $590 million. Adjustments included repositioning, financing-related items, foreign exchange, factoring discount fees, and acquisition/divestiture costs. The gap is not enormous, but it is recurring enough that both measures should be retained. [S1] [S24]

H1 2026 strengthened the pattern. Sales rose 9.5% to $1.961 billion, gross profit increased from $360 million to $408 million, net income rose from $149 million to $196 million, and diluted EPS increased from $0.72 to $1.02. CFO was $243 million and capex $46 million, producing $197 million of unadjusted FCF. Working capital consumed $66 million relative to the prior period, so cash generation was not flattered by a receivables or inventory harvest. [S3]

The Q2 gross-profit bridge prevents an overly simple “moat” explanation. Volume added $16 million, mix $3 million, price net of inflation pass-through $8 million, productivity $8 million, and lower RD&E $4 million. Commodity, transport, and energy inflation cost $8 million; foreign exchange had no gross-profit benefit in the filed bridge. The improvement combined end-market volume, internal productivity, price, and spending timing. [S3]

Earnings are not obviously at a broad end-market peak, but Garrett’s margins are near company highs and should not be treated as trough-normalized. [S3] [S4] Commercial-vehicle and industrial demand are recovering from weak 2024 comparisons, while light-vehicle production remains mixed. Q2 adjusted EBIT margin reached 15.6%, and the 2026 midpoint is 15.3%. A weaker production environment, adverse mix, price-down pressure, or restored transition spending could produce negative operating leverage.

ROIC requires careful interpretation. Company Financials reports conventional ROIC near 49% for 2025, but Garrett’s year-end equity was negative $802 million after restructuring, preferred transactions, and repurchases. Equity plus debt therefore produces a denominator heavily affected by financing history and treasury stock. A textbook ROIC can be mathematically correct under a provider convention yet economically misleading.

Several cross-checks are more useful. First, 2025 after-tax operating profit—approximately $388 million using a 21% tax rate—divided by average total assets near $2.4 billion produces an unlevered asset return of roughly 16%. That is not a formal ROIC substitute because assets include cash and accounting items, but it provides a conservative scale check. Second, cumulative 2022–2025 CFO less capex exceeded cumulative net income, supporting cash quality. Third, the company generated strong profit despite only modest net PP&E and low capex, demonstrating favorable working-capital and fixed-asset economics. Fourth, consolidated sales were flat over five years, so the record does not yet prove attractive incremental returns on transition investment. [S1] [S3] [S19]

Physical capital intensity is low. Capex ranged from $72 million to $91 million during 2021–2025, or about 2.0%–2.6% of sales, while depreciation was $99 million in 2025. Economic reinvestment is higher because Garrett also expenses RD&E, incurs customer-specific validation and launch cost, supports tooling, and carries working capital. Economic reinvestment is capex plus the productive portion of RD&E, launch spending, tooling, and working capital—not capex alone. [S1]

Accounting is mixed rather than uniformly conservative. Expensing internally developed RD&E suppresses current profit and assets relative to capitalization. Customer reimbursements are netted against RD&E and may be capitalized when contractually guaranteed. Customer rebates, discounts, and pricing concessions require estimates; the year-end 2025 reserve was $88 million, and the auditor treated variable consideration as a critical audit matter. Inventory reserves were $42 million. These policies recognize real uncertainty rather than proving aggressive accounting. [S1]

The principal non-GAAP caution is adjusted FCF. In 2025, GAAP CFO was $413 million and capex $72 million, giving $341 million of unadjusted FCF. Management reported $403 million after adding back or adjusting for repositioning cash, refinancing and transaction costs, swap proceeds, and factoring/P-note activity. For 2026, management guides to $345–$435 million of CFO less capex but $385–$475 million of adjusted FCF. The lower measure is the conservative equity-cash starting point; the adjusted measure can help compare operations only if its excluded cash items reverse or remain genuinely nonrecurring. Receivables financing deserves precision. Garrett sold $714 million of eligible receivables without recourse in 2025, versus $701 million in 2024 and $783 million in 2023, and sold $176 million of guaranteed bank notes without recourse. Those are annual flows, not outstanding financing balances. The filing reported no material receivables sold but uncollected by banks at year-end 2025, so the annual volume alone does not prove that 2025 year-over-year CFO was artificially inflated. The program nevertheless changes structural cash timing and creates reliance on bank markets. At June 2026, guaranteed bank notes outstanding were $188 million and supplier-financing obligations $77 million. A sound cash-quality test therefore neutralizes changes in outstanding sold receivables, notes, and supplier financing rather than deducting gross annual sales mechanically. [S1] [S3]

Material economic obligations include warranties, recalls, launch failures, leases, pensions, derivatives, environmental matters, supplier financing, and receivables programs. The 2025 filing recorded an $11 million environmental reserve and disclosed a Brazilian tax contingency of about $26 million that was not accrued. No individually disclosed contingency threatens current liquidity. Product failure could still exceed normal reserves because Garrett components affect emissions, engine performance, and vehicle operation. [S1]

Liquidity is adequate. At June 30, 2026, cash was $158 million, debt principal $1.386 billion, and the $630 million revolver was undrawn, producing stated liquidity of $788 million. The $583 million term loan and $800 million 7.75% notes mature in 2032. A May repricing reduced the term-loan spread to SOFR plus 175 basis points, and Garrett repaid $50 million. Near-term default risk is low; the 2032 concentration remains economically material. [S3] [S10]

Net income is not currently diverging adversely from operating cash flow; from 2022 through 2025 cash conversion exceeded earnings, while H1 2026 working capital consumed rather than released cash. [S1] [S2] [S3]

Verdict: financial quality is strong for a cyclical supplier: high margins, low physical capital intensity, cash conversion above accounting earnings, and manageable near-term liquidity. Conventional ROIC overstates comparability because negative equity distorts the denominator, and adjusted FCF requires continuing scrutiny of cash exclusions and financing programs.

Capital Allocation

Post-emergence capital allocation followed a clear sequence: eliminate expensive preferred claims, refinance and extend debt, fund organic technology development, repurchase common shares, and then introduce a recurring dividend. The sequence has improved per-share economics, but it preserved meaningful leverage and produced negative book equity.

The largest capital action was the 2023 simplification. Garrett repurchased approximately $570 million of Series A preferred shares held by Centerbridge- and Oaktree-affiliated funds, incurred $700 million of new debt, converted the remaining preferred stock one-for-one into common shares, and issued additional common shares for accumulated dividends. This removed the 11% preferred dividend and created one common-equity class. The cash-flow statement shows $580 million of preferred repurchase cash, reflecting transaction cash beyond the headline principal. Economically, the company replaced a high-cost sponsor claim with funded debt and common equity. [S1] [S21]

There has been no similarly large operating acquisition during the reviewed period. Growth spending has been primarily organic: RD&E, customer applications, validation, tooling, launches, and plant capability. The absence of a material acquisition record reduces goodwill and integration risk but means there is no demonstrated return history for buying adjacent industrial or electrification businesses. Goodwill was only $193 million at June 2026. [S1] [S3]

Common repurchases totaled $213 million in 2023, $296 million in 2024, $208 million in 2025, and $115 million in H1 2026. Shares outstanding fell from 238.2 million at year-end 2023 to 186.8 million at June 2026, a 21.6% reduction. The decline confirms that repurchases more than offset equity compensation and other issuance. [S1] [S3]

The 2024 and 2025 tranches were well priced in hindsight. Approximate average prices were $8.84 and $12.31, materially below $27.85. The 2026 program has operated at higher prices. H1 purchases included 2.5 million shares from Oaktree for $50 million, or $20 per share. The prior year included a 7.5 million-share Oaktree block for $103 million. Those transactions removed sponsor supply and were accretive relative to the current price, but they should be separated from ordinary open-market discretion because negotiated sponsor liquidity and governance process differ from continuous repurchases. Share-count reconciliation also exposes offsetting issuance. From December 2025 to June 2026, Garrett repurchased roughly 6.7 million treasury shares, but outstanding shares declined by only 3.8 million because new issuance and equity-award activity offset part of the reduction. Gross repurchase dollars are economically useful only when reconciled to treasury shares, new issuance, diluted shares, leverage, cash generation, and purchase price. [S3]

Management’s framework targets returning approximately 75% of adjusted FCF over time through dividends and repurchases while keeping net leverage below roughly 2x. From 2024 through H1 2026, repurchases and common dividends totaled approximately $701 million, about 82% of the $855 million of unadjusted CFO less capex generated over those periods. The ratio is shareholder-friendly but leaves a smaller buffer if transition capex, RD&E, or working capital rises. [S3] [S5] [S24]

The quarterly dividend is $0.08 per share. At 186.8 million shares, annualized cash cost is approximately $60 million, or about 18% of 2025 unadjusted FCF. Coverage is currently strong. The dividend is discretionary and subject to board action, debt covenants, liquidity, and investment needs. It is not comparable with the former 11% preferred dividend. [S1] [S3]

Compensation was materially misstated in the draft. Olivier Rabiller is President and CEO; Thierry Mabru is Senior Vice President, Integrated Supply Chain. [S1] [S6] Rabiller received $9.439 million of 2025 total compensation, including $5.878 million of stock awards, versus $8.664 million in 2024. Mabru received $2.292 million. Assigning Rabiller’s compensation to Mabru was a company/entity error and has been corrected.

The 2025 annual incentive was primarily company-performance based, with adjusted EBITDA, adjusted EBITDA margin, adjusted FCF conversion, and individual objectives. Long-term awards were 60% performance stock units and 40% restricted stock units; performance measures included relative TSR, cumulative adjusted EBITDA, adjusted margin, and adoption of new growth vectors. The 2026 program replaced EBITDA with EBIT, which better recognizes depreciation. No direct ROIC measure appears in the disclosed scorecard, and leverage is not an explicit performance metric. [S6]

That design has strengths and weaknesses. Margin and cash conversion encourage operating discipline, while relative TSR aligns part of pay with shareholder outcomes. Adjusted measures allow judgment but can exclude recurring cash costs. A growth-vector adoption metric can reward technological milestones before cash returns are known. The missing ROIC measure is relevant because the central strategic question is whether new-product investment earns an adequate return.

Recent insider filings must be classified carefully. CFO Sean Deason sold 110,000 shares under a prearranged Rule 10b5-1 plan, while turbo executive Mark Rodrigues sold 10,516 shares at a weighted average $33.818 under a plan. Grants, vesting, withholding, and planned sales are not discretionary open-market purchases. No recent code-P open-market insider purchase was identified in the reviewed filings. The draft also incorrectly described Thierry Mabru as CEO in discussing insider activity; that characterization is removed. [S11] [S22]

Free cash flow has funded preferred elimination, debt service, organic development, substantial repurchases, and a modest dividend; management targets returning about 75% of adjusted FCF while keeping net leverage below 2x. [S3] [S5]

Verdict: capital allocation since 2023 created value through removal of the preferred claim and low-priced share retirement. Future repurchases at a rerated valuation demand a higher hurdle, and incentives should be judged against net debt, net diluted shares, and new-product cash returns rather than gross distributions.

Changes and Headwinds — Last Two Years

Four developments changed the investment case. First, 2024 production weakness gave way to stronger commercial, industrial, aftermarket, and share-driven growth in 2025–2026. Second, battery-electric adoption continued rapidly in China and Europe while U.S. policy became less supportive. Third, Garrett moved from presenting electrification as a defensive technology program to publishing explicit 2030 and 2035 industrial and zero-emission targets. Fourth, the equity rerated enough that transition success is now needed to preserve, not merely expand, the multiple. [S1] [S5] [S12] [S13]

Results over the last two years reflect both external conditions and internal action: the 2024 sales decline was principally cyclical, while margin defense, productivity, program launches, financing changes, and share retirement were company-specific. [S1] [S3] Sales fell $411 million in 2024, yet gross margin improved. Sales recovered $109 million in 2025 and increased another 9.5% in H1 2026. Q2 2026 gross profit benefited from volume, price, productivity, mix, and lower RD&E, partly offset by inflation. Neither a pure macro recovery nor a pure self-help explanation fits the bridge.

The strategic message expanded materially at May 2026 Investor Day. Management now targets approximately $5 billion of sales in 2030 and more than $6 billion in 2035, approximately $1 billion and more than $2 billion respectively from zero-emission technologies, and industrial sales above $500 million in 2030. It expects more than half of 2030 sales from light-commercial, commercial, industrial, and aftermarket applications. These objectives describe a company much less dependent on passenger turbos, but they remain forecasts. [S5]

Industrial evidence improved fastest. On the Q1 call, management described low-double-digit growth from a base above $100 million. By Q2, after H1 industrial sales exceeded $80 million, it expected approximately $200 million for 2026. The change may reflect stronger generating-set demand and prior-award conversion, but audited disclosure still combines industrial with commercial vehicles. Investors should treat the higher number as a management claim supported by aggregate growth, not a fully reconciled segment fact. [S3] [S8] [S9]

Markets and facilities changed incrementally. Garrett retained 13 manufacturing sites, six R&D centers, and ten engineering sites. Capex guidance increased to approximately $90 million as new products approach launch. Management continuity also persists: Olivier Rabiller remains CEO, Sean Deason CFO, and the senior technology team is largely intact. The draft’s statement that Thierry Mabru remained CEO was false; Mabru is responsible for integrated supply chain. [S1] [S3] [S6]

Regulation became more regionally divided. U.S. federal GHG vehicle standards were rescinded, while current European law remains materially tighter and China continues rapid electrification. This creates a portfolio barbell: U.S. combustion life may extend, Europe still rewards transitional efficiency but threatens terminal turbo units, and China offers the fastest new-technology demand alongside the strongest local competition. No material accounting-policy change explains the earnings improvement. The larger comparability issues are management presentation, receivables programs, and capital structure. Adjusted FCF continues to normalize repositioning, financing, swap, and factoring-related cash; pre-2023 EPS is distorted by preferred claims; and negative equity inflates standard return ratios. Single-segment reporting is increasingly inadequate for testing transition economics. [S1] [S3]

Headwinds include lower light-vehicle schedules, annual OEM price reductions, commodity and logistics inflation, tariffs, currency, customer concentration, product-launch risk, and potentially higher RD&E. Management expects continued share outgrowth despite softer H2 light-vehicle production. That is a testable claim, not a fact about future quarters. [S8]

Verdict: the last two years improved Garrett’s operating position and exposed genuine industrial demand, but they also increased the proof burden. Strong aggregate results do not yet demonstrate that new-product economics can replace the mature profit pool.

Risk Analysis

The most likely investment loss is multiple compression combined with modest margin normalization, not immediate insolvency. The current price assumes that Garrett sustains mid-teens adjusted EBIT margins, converts earnings to cash, keeps leverage near or below 2x, and proves enough industrial or zero-emission growth to avoid an ordinary auto-supplier multiple.

Factors that could cause the stock to decline include weaker vehicle production, major platform losses, adverse price/productivity, delayed industrial awards, low-return zero-emission launches, faster BEV substitution, higher RD&E or capex, working-capital consumption, leverage, insider or sponsor selling, and convergence toward peer multiples. A transition timing mismatch is the most important structural risk. Faster BEV adoption can erode passenger-turbo cash before E-Powertrain and E-Cooling become profitable. Slower electrification can extend turbo revenue but weaken demand for products that absorbed substantial RD&E. Industrial compression diversifies both paths but introduces different competitors and channels.

Factoring risk should not be exaggerated. Without-recourse receivable sales transfer collection risk, annual flows have been relatively stable, and year-end sold-but-uncollected balances were immaterial. The risk is structural dependence on continued bank availability and misleading cash comparisons if outstanding balances change. A deterioration signal would be rising outstanding financing, a widening adjusted-versus-unadjusted FCF gap, or working-capital stress when programs are curtailed.

Balance-sheet risk is manageable but asymmetric. Garrett can cover current interest and the approximately $60 million annual dividend from present cash flow. It also has six years before the main maturity wall. Aggressive buybacks could waste that runway. At $430 million of adjusted FCF, the company can distribute capital and repay debt; at $250–$300 million of downturn FCF, maintaining a 75% return target would reduce flexibility.

A catastrophic-loss path would require several events together: rapid passenger-turbo erosion, failed or deeply unprofitable new products, a major recall or customer claim, sustained negative free cash flow, and inability to refinance 2032 obligations. Negative book equity would then matter because creditors are senior and tangible recovery might not cover debt. A plausible catastrophic-loss path combines core erosion, transition failure, a liability shock, and refinancing stress rather than an ordinary production recession alone. [S1] [S3]

The probability of literal total loss is low but nonzero. My estimate is approximately 2%–5% over five years. That is an analyst estimate, not a statistical forecast. Garrett owns profitable programs, physical plants, IP, and an aftermarket franchise, and it has no near-term maturity wall. Total loss would likely require structural franchise collapse plus financing failure or extraordinary liabilities. A severe recession alone would more likely produce a large drawdown and covenant pressure than zero equity.

Verdict: ordinary downside is material because valuation and margins have rerated; catastrophic insolvency risk is currently low because liquidity, cash generation, and maturity timing are favorable. The most dangerous case is a mistimed transition coupled with undisciplined distributions.

Valuation Discussion

At the September 11 close of $27.85 and 186.8007 million shares outstanding, market capitalization is approximately $5.20 billion. Debt principal was $1.386 billion and cash $158 million, giving enterprise value of approximately $6.43 billion before lease adjustment. Trailing through Q2 2026, revenue was $3.754 billion, GAAP operating profit and EBIT approximately $536 million, GAAP EBITDA approximately $639 million, net income $357 million, CFO $442 million, capex $77 million, and CFO less capex $365 million. The share-count correction is essential. Company Financials returned a current enterprise value above $8 billion because its market-cap field appears to use approximately 243 million issued shares. The filing reports 245.5 million issued, 58.7 million treasury, and 186.8 million outstanding. Valuation must use outstanding shares. The provider’s income statement and price records reconcile reasonably to filings; its GTX market-cap and enterprise-value fields do not. [S3] [S19]

Unadjusted and adjusted cash flow lead to different valuations. Trailing CFO less capex is approximately $365 million. The 2026 adjusted-FCF midpoint is $430 million, while management guides to $390 million of CFO less capex at the midpoint. The adjustments include repositioning cash, swap proceeds, and financing-related items. A base case should not discard adjusted FCF, but it should avoid valuing every add-back as permanent owner cash.

Own-history valuation should begin after the 2023 capital simplification. Pre-2023 market capitalization omits the economic burden of preferred stock and is not comparable. Recomputed approximate year-end EV/GAAP EBITDA was 6.2x in 2023, 5.6x in 2024, and 7.8x in 2025. The current 10.1x multiple is roughly 62% above that three-year median. The business and balance sheet improved, so a higher multiple is rational; historical “cheapness” is nonetheless stale after the 2026 price gap. [S1] [S19] [S20]

Peer comparison requires careful definitions. Current Company Financials prices and trailing statements imply approximate EV/EBITDA of 11.1x for BorgWarner, 8.9x for Aptiv, 7.6x for Magna, and 5.8x for Lear. The median is about 8.3x. Garrett’s 10.1x is therefore about 22% higher, not 35%. BorgWarner remains the closest product peer but includes broader propulsion and thermal assets. Aptiv, Magna, and Lear are larger, more labor-intensive, and differently capitalized. Garrett deserves some premium for margin and cash quality; the comparison does not justify treating the premium as riskless. [S15] [S19]

A more relevant transition comparison is Modine, whose data-center thermal exposure commands a much higher multiple. Modine is not a direct turbo peer and has clearer reported exposure to fast-growing climate solutions. Its valuation shows what Garrett could earn if industrial cooling becomes a visible, profitable franchise; it is not an appropriate current base multiple before Garrett reports separate revenue and margin.

The scenario framework uses current guidance as input but adds analyst assumptions for margins, debt, and shares:

The bear case is not an insolvency case. It assumes Garrett remains profitable but is valued as a cyclical supplier while adjusted EBIT margin compresses toward 13%. The base case assumes present guidance is broadly achieved and gives industrial activity some option value but does not fully capitalize the 2030 zero-emission target. The bull case requires margin-preserving new-product revenue, lower net debt, and continuing net share retirement.

An equity-FCF cross-check gives a similar center. Ten times $345 million of low-end CFO less capex divided by 190 million shares is approximately $18. Two-and-a-half to three turns more on the $430 million adjusted-FCF midpoint and a lower share count support the high-$20s. Fourteen times $475 million divided by 180 million shares approaches $37. The output is sensitive to whether adjusted cash items recur and whether buybacks reduce shares without increasing net debt.

The market currently embeds several expectations: adjusted EBIT margin near 15%; cash conversion around management’s 75% target; net leverage below 2x; continued share retirement; turbo revenue declining more slowly than global units; and enough industrial or zero-emission progress to prevent terminal multiple convergence. The market is correct to reject the old immediate-melting-ice-cube model. It may be prematurely assuming that technology transfer produces core-like margins.

The factor model is a dated statistical risk diagnostic, not fundamental valuation evidence. As of September 10, it shows market exposure of 1.08, positive small-size and quality loadings, negative growth and U.S.-dollar loadings, and almost no independent value loading. Residual momentum is modest, residual volatility is high, and R² is only 0.22. Sector coefficients are statistical controls, not classifications of Garrett’s legal or economic industry. The low explanatory power suggests company events remain important to returns. The supplied alpha lacks a standard error and frequency convention and should not be annualized. [S18]

Verdict: current price is close to a defensible base value. The stock is no longer statistically cheap, and upside requires transition evidence; ordinary peer convergence creates roughly 20%–30% downside without a solvency event.

Variant Perception

The apparent market narrative is that Garrett has evolved from a distressed turbo pure play into a high-margin, self-funded technology platform. Core turbo lasts longer because hybrids, advanced content, commercial engines, industrial applications, and share gains offset BEVs. Industrial sales compound above 20%, zero-emission products reach approximately $1 billion of 2030 revenue, and cash returns accelerate EPS. The 2025–2026 rerating indicates that investors already accept much of the core-durability argument. [S5] [S19]

The strongest bull case is not merely slower EV adoption. It is that Garrett owns modular high-speed compression and control technology with automotive validation and global scale. Those capabilities can serve stationary power, data-center backup, HVAC, battery cooling, fuel cells, electric propulsion, and industrial air. If management can reuse engineering and plants, incremental capital requirements may be low. More than $2 billion of five-year adjusted FCF could reduce shares before the new portfolio matures. [S5]

The strongest bear case is a financing-gap thesis. Passenger turbo cash declines; OEMs maintain price pressure; Garrett increases RD&E and launch spending; and new products enter markets with more alternatives and lower margins. Because industrial and zero-emission profit is not separately disclosed, investors recognize dilution only after spending occurs. Buybacks then compete with debt repayment and commercialization. A 7x–8x multiple on lower earnings can produce a high-teens or low-$20s share price without bankruptcy.

Investor questions on the latest two calls were appropriately focused on evidence quality. Analysts asked whether share gains were durable, whether H2 light-vehicle assumptions were conservative, when generating-set awards become revenue, how China margins compare, whether the Trane relationship limits other customers, and when E-Cooling reaches production. Management said it did not expect H1 share gains to collapse, cautioned that the macro outlook remained uncertain, said a new MEG award would not materially affect 2027, and continued to target E-Cooling production from 2027. It did not publicly provide a complete exclusivity or unit-economics answer. Thoughtful investor questions have concentrated on share durability, industrial award conversion, China economics, partnership exclusivity, and the timing and profitability of 2027 launches. Five load-bearing assumptions should be separated:

  1. Core durability. Turbo revenue must outperform the decline in relevant combustion-engine production through share and content. Falsifier: two consecutive years of constant-currency turbo revenue underperforming production without a mix explanation.

  2. Margin transfer. Industrial and zero-emission growth must preserve consolidated economics. Falsifier: new-product revenue grows while adjusted EBIT margin falls below 13%, absent a disclosed temporary launch cost.

  3. Cash quality. Adjusted FCF must translate into unadjusted cash and debt capacity. Falsifier: cumulative adjusted FCF exceeds CFO less capex by more than 20% over three years without reversal.

  4. Capital discipline. Distributions must reduce net diluted shares without lifting leverage. Falsifier: net debt rises and diluted shares fail to decline despite large repurchases.

  5. Commercial conversion. Awards must reach production on disclosed schedules. Falsifier: material 2027 launches slip beyond 2028 or are repeatedly redefined as predevelopment.

The factor context is neither deep-value nor crowded-growth. Positive quality, negative growth, near-zero value, modest residual momentum, high residual volatility, and low R² describe a formerly distressed cyclical whose company-specific rerating dominates the statistical fit. [S18]

The most defensible variant view is two-sided: the market previously underestimated turbo longevity and core cash quality, but may now be overcapitalizing industrial and zero-emission optionality before contribution economics are known. The June-to-September decline despite raised guidance is consistent with that tension, although price action cannot reveal investor beliefs by itself.

Verdict: the remaining edge is to value core durability more highly than a terminal-decline model while demanding more proof than management’s addressable-market slides provide. The rerating has narrowed that edge substantially.

Verdict: the bull thesis requires margin-preserving commercial conversion, not additional addressable-market estimates.
