Verdict: HOLD / great story, demanding price — accumulate only on a meaningful pullback (roughly the high-$100s to ~$210, ≈14–20x forward business-segment EBITDA). Not a short, despite the bear file — the short case has been tried and, so far, lost. Medium conviction.
FTAI is the rare disruptor with a genuinely differentiated mechanism — the CFM56/V2500 module swap, which lets airlines avoid a $4–6M full engine overhaul for a faster, cheaper module exchange — attacking the single richest profit pool in commercial aviation (engine aftermarket) at exactly the moment an aging narrowbody fleet and chronic LEAP/GTF new-engine shortages force operators to keep 737NGs and A320ceos flying for years longer. The reported numbers are spectacular: revenue compounding from ~$300M (2020) to ~$2.5B (2025), Aerospace Products EBITDA up 70%+ year-on-year at ~30–35% margins, market share moving 10%→12%, and a smart asset-light pivot (the Strategic Capital Initiative) that is de-levering the balance sheet from ~5x to ~2.3x while converting a capital-hungry lessor into a fee-plus-co-invest asset manager. Management is buying stock in the open market and raising the dividend every quarter.
So why only HOLD? Two reasons. First, price: at ~$276 the stock trades at the 96th percentile of its own price/sales history, ~19x forward business-segment EBITDA and ~31x 2026 adjusted FCF — multiples that already underwrite years of flawless module-volume scaling, sustained 30%+ aftermarket margins, OEMs not choking PMA-part supply, and FTAI Power (the brand-new CFM56-to-gas-turbine data-center play) becoming a real third leg. That is a lot of perfection for a sub-scale niche player one value-chain node below GE/Safran. Second, the quality-of-earnings overhang is real even though the short thesis failed: GAAP operating cash flow has been negative for years because the model continuously sinks cash into engine/module inventory and assets, the Muddy Waters allegations (whole-engine sales dressed as “modules,” depreciation-transfer margin inflation) were dismissed by a company-commissioned review with no restatement but never publicly rebutted line-by-line, and class actions are still pending. The framing is high-beta momentum (β≈1.8, Momentum loading +0.57, strongly anti-Value) riding a powerful real fundamental tailwind — not a falling knife, but a crowded, expensive winner where the asymmetry has narrowed. Bull-flip trigger: GAAP operating cash flow turns durably positive as the asset-light model matures, decisively killing the QoE bear. Bear-flip trigger: a stall in module throughput or AP margins back toward the low-20s%, or any OEM/regulatory move against FTAI’s PMA parts.

📈 Stock Price Action — Five-Year Event Map
FTAI has been one of the great industrial compounders of the decade — and one of the most violent round-trips. The pure-play aviation company (after the 2022 infrastructure spin) went from ~$16 to an all-time-high close of $308.99 (2026-02-26) — roughly a 19-bagger off the post-spin base — before easing to $276.11 today, about 14% below its ATH and inside a 52-week range of $107.64–$322.42. 1. Executive Summary
FTAI Aviation is a commercial-aerospace company built around one differentiated idea: the CFM56/V2500 “module swap.” Rather than send an aging narrowbody engine for a full, time-and-materials shop visit (often $4–6M and 60–90+ days), FTAI buys used engines, tears them down into their three core modules, refurbishes modules in its own shops, and sells or exchanges serviceable modules/engines to airlines — faster and cheaper. This sits inside a two-segment structure: Aerospace Products (the module-swap / Maintenance, Repair & Exchange “MRE” engine business, ~$1.94B FY25 revenue, ~$671M segment Adjusted EBITDA) and Aviation Leasing (aircraft and engines on lease, increasingly run through an off-balance-sheet fund — ~$571M revenue, ~$609M segment Adjusted EBITDA). The investment debate has three live questions. (1) Is the moat real? FTAI’s edge is a genuine process/cost advantage (a deep CFM56 module/parts pool + FAA-approved PMA parts + four MRO facilities), amplified by switching costs as airlines sign “programmatic,” whole-fleet maintenance deals. The honest read: a genuinely good and improving business, demonstrably real growth, but a price that already capitalizes the bull case — leaving little margin for error. 2. Business Overview
What FTAI is. FTAI Aviation Ltd. (NASDAQ: FTAI; CIK 0001590364) is a Bermuda-domiciled, New York-headquartered aerospace company that emerged from Fortress Transportation and Infrastructure Investors LLC. In July 2022 it spun off its infrastructure assets as FTAI Infrastructure (FIP), becoming a pure-play aviation company, and in May 2024 it internalized its external manager (a Fortress affiliate), ending the externally-managed structure. The model is more complex and more capital/inventory-intensive than a clean “services” business, and a meaningful and rising share of AP revenue is sold to FTAI’s own related-party funds — both points to scrutinize.
3. Industry Dynamics
The profit pool is excellent — for whoever controls it. Commercial-engine MRO is the single most attractive profit pool in aviation. The OEMs (GE Aerospace, Safran via the CFM JV, RTX/Pratt & Whitney, Rolls-Royce) run a classic “razor-and-blades” model: sell the engine at or below cost, then earn decades of high-margin aftermarket parts and service annuities protected by FAA/EASA part-certification, proprietary IP, and long-term service agreements. FTAI’s position in the value chain. FTAI is an independent intermediary/disruptor sitting one node below the OEM: it buys used serviceable material (USM) and whole engines, processes them into modules/parts, and competes against both the OEM aftermarket and traditional MROs by offering a lower-cost, faster alternative for mature engine families (CFM56, V2500) where the OEM’s grip on new-part supply is weaker and a large pool of used feedstock exists. Historical growth has been extraordinary and real. Consolidated revenue: $298M (2020) → $336M (2021) → $708M (2022) → $1,171M (2023) → $1,735M (2024) → $2,507M (2025) — a ~53% revenue CAGR over five years, accelerating in 2024–25 as Aerospace Products scaled. Two caveats: (1) a growing slice of AP revenue is MRE supply to FTAI’s own SCI funds (the $335.8M MRE Contract line, a related party), so not all AP growth is independent third-party demand; (2) reported segment margins depend on cost-allocation between Leasing and AP (the heart of the Muddy Waters critique, discussed under Variant Perception below). Verdict: high-quality, largely organic, multi-year growth with credible forward vectors — the single best feature of the story. The caveats (related-party MRE sales, unproven Power, margin-allocation dependence) temper but do not negate it.
6. Financial Quality
The income statement looks superb; the cash-flow statement is the problem. This is the crux of the entire FTAI debate.
Margins and returns (strong, on a GAAP/Adjusted basis). FY25: gross margin 37.2%, GAAP operating margin 30.7%, EBITDA margin 41.4%, net margin 20.0%, ROIC 17.4%, ROE elevated but distorted by a tiny equity base, ROA 11.9%. Incremental operating margin ~67% in FY25 — strong operating leverage as AP scales. The cash-flow red flag. GAAP operating cash flow has been negative: −$311M (FY25), −$188M (FY24), +$129M (FY23), −$21M (FY22). Reported free cash flow is deeply negative every year (−$997M FY25, −$1.34B FY24). The driver is structural: the model continuously sinks cash into inventory (engines/modules — inventory ballooned from $317M (2023) to $551M (2024) to $1,194M (2025)) and into leasing/engine assets, while large offsetting engine/asset disposals ($1.24B in FY25) run through investing. So the headline OCF understates economic cash generation — when you net asset purchases and sales, total cash actually rose ~$185M in FY25 — but it also means reported earnings are not converting to operating cash, and the business depends on continuous capital recycling and capital-markets access. Management’s answer: “adjusted free cash flow.” FTAI reports an adjusted FCF that re-characterizes engine/inventory purchases as growth investment; on this basis Q1’26 adjusted FCF was $158M ($333M ex-growth prepayments), and 2026 guidance is ~$915M. This is a defensible reframing for a business that buys assets to lease/process — but it is a non-GAAP, management-defined metric, and the gap between it and GAAP OCF is precisely what skeptics distrust. Balance sheet — leverage is the other watch item, but improving. FY25: total debt $3.45B, cash $0.30B (Q1’26 $0.41B), net debt ~$3.15B, against total book equity of only $334M — book leverage looks extreme (net-debt/equity ~9x). But on the metric management and rating agencies use, net-debt/EBITDA is ~2.3x (Q1’26), down from ~5x (2022) and ~4x (2023–24) — genuinely de-risked by the asset-light pivot and earnings growth, and below the agreed 2.5–3.0x target. Verdict: economics clearly improve with scale (rising margins, ~17% ROIC, strong incremental margins) — but earnings quality is the legitimate soft spot. Negative GAAP operating cash flow, a massive inventory build, reliance on a management-defined adjusted-FCF metric, and a thin equity base mean the “quality” verdict is good-but-not-yet-proven-in-cash. Track record: coherent and, to date, value-creating — a B+/A− with real caveats.
