Verdict: HOLD / AVOID-here — a genuinely good #1/#2 distribution franchise bought at the wrong point in the cycle at the richest multiple in its history. Conviction: medium. At ~$215 Arrow trades at ~15x trailing GAAP earnings, ~1.7x book, ~2.5x tangible book, and ~0.44x EV/Sales — the ~91st percentile of its own ten-year valuation range, and literally its richest-ever reading on price-to-sales (99th percentile). That is a remarkable place for a business that, by management’s own compensation disclosure, generated a three-year average ROIC of just 1.11% above its cost of capital. I would happily own Arrow — but in the high-$120s to mid-$150s (roughly 8–10x normalized EPS and at/near book value, where it spent most of the last five years and where the interim CEO himself bought stock in February at $151.87), not at a doubled price that already capitalizes a sustained upcycle. The bull’s “only ~11x forward earnings” is the oldest trap in cyclical investing: 11x on 2026’s recovery/near-peak EPS is ~15x trailing and ~13–15x on mid-cycle earnings — a full multiple for an 8%-ROIC, sub-4%-operating-margin commodity distributor.
The framing is unambiguous, and the tape proves it. Arrow’s single closest statistical cousin in factor space is the iShares USA Value Factor ETF (VLUE, 0.94 similarity), with Avnet right behind it — its factor identity is deep-value cyclical. Yet the last six months have been pure momentum: ~+82% actual price gain, a 6-month Sharpe of 5.6, while its ten-year annualized return is ~13% against a −73% lifetime drawdown. 1. Executive Summary
Arrow Electronics is the world’s #1 or #2 broad-line distributor of electronic components, paired with a top-three Enterprise Computing Solutions (ECS) IT-distribution arm. FY2025 revenue was $30.9B: Global Components $21.5B (69.7% of sales) and Global ECS $9.4B (30.3%). It is a ninety-year-old, Fortune-154, investment-grade business with ~22,230 employees and one of the two broadest supplier line cards on earth — a genuine, hard-to-replicate scale barrier to entry.
It is also, by the cold logic of its financials, one of the lowest-quality business models in all of distribution. Consolidated operating margin is ~3% (GAAP 2.7% in FY2025), return on invested capital sits at ~8% — roughly its own cost of capital — and management’s proxy discloses a three-year average ROIC-minus-WACC spread of just 1.11%. Growth is not the problem; economics are. Arrow has scale without pricing power: revenue is booked order-by-order with a few months’ visibility, no customer exceeds 2% of sales, no supplier 8%, and distributor agreements are non-exclusive and cancellable. The business is violently cyclical. A crucial accounting nuance governs how to read ECS “growth”: Arrow reports net sales of $9,352M against gross billings of $22,050M, meaning roughly 58% of ECS volume is recognized on a net (agent) basis — Arrow books only the fee, not the full ticket, when it merely arranges a third party’s software, cloud, or warranty. It recognizes gross (principal) only when it bears fulfillment responsibility and inventory risk. A mix shift toward gross recognition — which is exactly what happened in 2025 as hardware demand surged — inflates reported ECS revenue without a corresponding change in gross profit. Anyone modeling ECS on headline revenue growth will overstate its economic contribution.
How Arrow makes money, in one sentence: it earns a thin spread (blended ~11% gross margin, ~3% operating margin) on an enormous flow of components and IT hardware/software, financing customers’ working capital in the process, and converts that into per-share value primarily by shrinking the share count. Revenue is overwhelmingly transactional and non-contracted; the recurring-revenue element (ArrowSphere subscriptions, some ECS software) is growing but undisclosed in magnitude. Verdict: a genuinely large, diversified, well-run distribution platform — but a transactional, spread-based, working-capital-intensive one, not a recurring-revenue compounder.
3. Industry Dynamics
Arrow sits in the thinnest-margin link of two distinct value chains. In components: semiconductor and IP&E suppliers → distributor (Arrow, Avnet, plus Asia’s WT Microelectronics/WPG and catalog specialists Mouser and Digi-Key) → OEM/EMS/contract manufacturers. In ECS/IT: technology vendors → distributor (Arrow ECS, TD SYNNEX, Ingram Micro) → VARs/MSPs → end users. Both chains are oligopolistic at the top and consolidating — WT Microelectronics acquired Future Electronics, reshaping the Asian line-card landscape — but that consolidation protects a structurally low-return profit pool rather than creating pricing power.
Why components distribution is the worst corner of distribution. Set against the broader distribution sector, the ranking of distribution economics is stark. Best-in-class models — Watsco in HVAC (28% gross, 9.6% operating, 15–27% ROIC, net cash), Applied Industrial in MRO/fluid power (30% gross, 11% operating, ~17% ROIC), CDW in IT solutions (~7% operating, ~15% ROIC) — earn durable, high returns because they hold power over fragmented suppliers, sell technical/consumable products with real switching costs, and enjoy replacement/annuity demand. Electronic-components distribution is the mirror image on four dimensions:
- Commodity pass-through, no pricing power. Arrow resells chips designed by TI, Analog Devices, NXP, and ST on a cost-plus spread. It owns no product IP; competition “creates pricing pressure and the need to continually improve services,” in the 10-K’s own words.

The single most damning datapoint is Arrow’s own: its 2023–2025 performance share units, gated on three-year average ROIC-minus-WACC and relative EPS growth, vested at only 50% of target, because its EPS growth “ranked ninth among the reporting companies” and its ROIC exceeded WACC by just 1.11%. A ~1.1% economic-value-add spread is the textbook fingerprint of scale-without-pricing-power. When a self-declared moat cannot be tied to a financial outcome that would deteriorate without it, it is, in Greenwald’s framing, a franchise in name only.
Running the tests:
- Scale and scope (the genuine advantage). ~140 sales facilities, 39 distribution and value-added centers, operations in 85+ countries, and one of the two broadest line cards globally. A new entrant cannot cheaply replicate the combination of global logistics, thousands of supplier authorizations, and the balance-sheet capacity to extend credit to a fragmented customer base. This is a real barrier — but it caps downside (hard to displace) rather than creating upside (no pricing power).
- Supplier switching costs (weak). Distributor agreements cover 56% of inventory with price-protection and stock-rotation rights and 59% with repurchase-on-termination rights — genuinely de-risking Arrow’s inventory and making it a valued channel — but the agreements are “typically non-exclusive and cancellable by either party at any time or on short notice.” Little durable lock-in.

A crowded, commoditized market in which Arrow’s differentiation (scale, design services, ECS/ArrowSphere) earns it a marginal edge over Avnet and roughly its cost of capital — not a durable excess-return franchise.
5. Growth History and Forward Opportunities
Arrow’s five-year revenue path is a cycle, not a trend: $28.7B (2020) → $34.5B (2021) → $37.1B (2022 peak) → $33.1B (2023) → $27.9B (2024 trough) → $30.9B (2025). Diluted EPS traced a wider arc — $7.43 → $15.10 → $21.80 → $15.84 → $7.29 → $10.93 — amplified in both directions by operating leverage on a thin margin and by the shrinking share count. Over the full five years, revenue compounded at a pedestrian ~1.5% while EPS compounded ~8% — almost entirely a function of buybacks, not organic growth.
The current upcycle is genuine and broad. Quarterly revenue reaccelerated through 2025 into a Q1’26 print of $9.5B, +39% year-over-year — the sharpest sequential slope in the dataset:

Margins are thin and structurally so. GAAP gross margin ran 11.1% (2020) to a 13.0% shortage-era peak (2022) and back to 11.2% (2025); GAAP operating margin was 2.7% in FY2025 (non-GAAP 3.1%) versus a 5.6% peak in 2022. Q1’26 lifted GAAP operating margin to 4.2% — the best in the dataset — on volume leverage, but management guides it back down in Q2. The pattern is diagnostic: Arrow releases cash in downturns (working capital unwinds) and consumes it in recoveries (working capital builds). FY2025 operating cash flow collapsed to just $64M as accounts receivable and inventory ballooned to fund the recovery — a normal feature of the model, but one that means the current upcycle will be cash-hungry, constraining buyback capacity exactly when the stock is expensive.
The receivables balloon — explained, but worth watching. Accounts receivable jumped 51% to $19.7B at year-end 2025 (from $13.0B), pushing DSO to ~234 days — a figure that would be alarming for a normal distributor. Working capital is the whole cash-flow story. Arrow’s cash conversion cycle ran ~50 days in 2020–21, widened to ~72–79 days in 2023–25 as receivables lengthened, and is the swing factor behind every year’s free cash flow. For valuation, the implication is that the current upcycle will be cash-hungry (constraining buybacks precisely when the stock is dear), and that the “quality” of any single year’s cash flow must be judged against where that year sits in the cycle.
Balance sheet: investment-grade and comfortable. Year-end 2025 gross debt was $3.1B against $0.3B cash — net debt $2.8B, or 2.58x trough EBITDA (closer to ~1.6x on a forward basis as EBITDA recovers). EBITDA-to-interest coverage is 5.0x. Book value per share is $127.56 and tangible book (after $2.2B goodwill) is ~$86. Capex is minimal (~$100M, ~0.3% of sales), so the business consumes capital through working capital, not fixed assets. Dilution is negligible — stock-based compensation runs ~$28–43M/year against a share count Arrow is actively shrinking. Verdict: economics do not meaningfully improve with scale. 7. Capital Allocation
Capital allocation at Arrow is, in practice, one lever: the buyback. There is no dividend. Verdict: competent, not exceptional. Disciplined on M&A (no impairments, no empire-building), asset-light, and IG-prudent — but the single-lever, pro-cyclical buyback forfeited the counter-cyclical opportunity to retire shares at the trough, and the growing reliance on off-balance-sheet securitization to fund working capital deserves ongoing scrutiny. Management allocates capital sensibly within a low-return business; it has not found a way to make the business itself high-return.
8. Changes and Headwinds — Last Two Years
The cycle turned. The defining change is the transition from the 2023–24 destocking recession to the 2025–26 recovery. Arrow sits at the ~91st percentile of its own ten-year valuation range, with price-to-sales at the 99th percentile — the richest reading in the company’s history. Reframed honestly: ~11x “forward” is ~15x trailing and, on normalized mid-cycle EPS of ~$12–15, roughly ~14–18x — a full multiple for a business earning its cost of capital. The 1.69x P/B says the market has already underwritten the recovery; the distressed-to-fair-value re-rating (the easy money, from 0.86x to book) is made. From here, an investor is no longer paid to wait for the cycle — at the richest multiple in company history, they are paying up for a cyclical recovery to arrive on schedule in the worst-economics corner of distribution.

- What actually caused the CEO change? No cause was stated for Kerins’s no-severance, full-forfeiture exit.
